Approved Manager
A BVI Approved Manager is an approval route granted by the BVI Financial Services Commission (FSC) under the Investment Business (Approved Managers) Regulations for specified fund-management or investment-advisory activities, not a general licence covering any financial business. The applicant must be a BVI business company or a registered limited partnership; its business must fall within the statutory scope of eligible funds and related structures; and it must continuously meet requirements including having two directors (one of whom is a natural person) and a certified authorized representative. This article is compiled from 2026-11-02 official materials and summarizes the application, commencement, assets under management, corporate transparency, reporting, fees and change-notification obligations; approval and processing times are determined by the FSC on a case-by-case basis, and approval is not guaranteed. The material is prepared under the website’s unified name, Rengangyongsheng (Hong Kong) Limited, and explained by business manager Tang Shangyong (Mr Tang).
Approved Manager DetailsSIBA investment business
This page is based on laws, regulations, fee schedules and implementation notices publicly issued by the BVI FSC and the BVI Government. It describes the statutory categories of Category 1 to 7 investment business licences under the BVI Securities and Investment Business Act (SIBA), application review, government fees, company registration, economic substance and ongoing compliance. This content does not replace legal analysis of specific products, clients, transaction chains or group structures. Whether the FSC grants a licence, the conditions imposed and the review period all depend on complete documentation, fit and proper persons, business risks and considerations of the public interest; no institution can guarantee approval.
Details of Securities and Investment BusinessVASP virtual assets
The BVI regulates virtual asset service providers (VASPs) by registration, rather than by issuing a single general licence for all crypto businesses. Whether registration is required depends on the services actually operated for others: exchanging virtual assets for fiat currency or other virtual assets, transferring virtual assets on behalf of clients, safeguarding or controlling access instruments, and financial services related to an offer or sale by a virtual asset issuer may all fall within the Virtual Assets Service Providers Act, 2022. A BVI company carrying on such business for overseas customers is also deemed to be carrying on business from the BVI. This article is prepared by reference to the FSC legislation, application guidance, fee regulations and company registration notices in force as of the verification date. The FSC assesses fitness and propriety, governance, funds, systems and ongoing compliance on a case-by-case basis; any stated time is a regulatory service target or working estimate, not a promise of approval. This article carries the website’s standard attribution: prepared by Rengangyongsheng (Hong Kong) Limited and explained by business manager Tang Shangyong (Mr Tang). Its content is for regulatory information purposes and does not constitute legal, tax, audit or investment advice, or any guarantee of approval.
Virtual Asset Services Registration DetailsFund recognition / registration
This page describes only the recognition or registration routes under the regulation of the British Virgin Islands Financial Services Commission (BVI FSC) for Private Funds, Professional Funds, Public Funds, Incubator Funds, Approved Funds and Private Investment Funds (PIFs), and the scope of funds that an Approved Investment Manager may manage. It is not a guarantee of approval or fundraising, investment, tax or legal advice. The fund category, investor eligibility, fund documents, management arrangements, marketing jurisdictions and ultimate beneficial owner information must be reviewed in light of the actual circumstances by qualified BVI legal counsel, the registered agent and relevant service providers.
BVI Fund Structure DetailsBanking Business
This page is based on publicly available materials from the British Virgin Islands Financial Services Commission (BVI FSC), including the Banks and Trust Companies Act (Revised), the Regulatory Code, the 2023 fee schedule and the 2025–2026 company registration notices, and discusses banking business licences only. The defining feature of banking business is accepting deposits repayable on demand, at a fixed term or on notice, and using those deposits for lending, credit, guarantees or investment while the deposit-taker bears the risk; payment services, foreign exchange, financing, insurance, fund management or digital-asset activities alone do not thereby constitute banking business. Whether a licence is granted, applicable conditions, actual capital, fees and review timelines are determined by the FSC on a case-by-case basis; the preparation timelines on this page are project-planning estimates only, not a commitment on approval. This page was prepared by Rengangyongsheng (Hong Kong) Limited and explained by business manager Tang Shangyong (Mr Tang). Its contents do not represent the FSC’s views and make no claim of any approval case or statistical achievement.
Banking licence detailsTrust and Corporate Services
This page explains two distinct BVI pathways that must not be conflated: a TCSP licence for providing trust or company management services to third parties, and a private trust company (PTC) that may qualify for a statutory exemption limited to private trust services. The content is based on the BVI FSC’s Banks and Trust Companies Act, trust business application guidance, company and beneficial ownership notices, annual filing notices and fee materials. The core requirements for a TCSP are licensing, personnel, capital and ongoing supervision; for a PTC, they are carrying on only related-trust or unpaid trust business, not soliciting the public, and continuously appointing a qualified Class I Trust licensed registered agent. The official service standard stated here is a processing target for a “complete application,” not a commitment to grant approval; any establishment, acquisition or change should be assessed against the laws, licence conditions and written confirmation from the FSC or registered agent in force at the time of submission.
TCSP / Company Management DetailsInsurance business
This page focuses on licences for insurance companies, insurance intermediaries (insurance brokers/agents) and insurance managers regulated by the British Virgin Islands Financial Services Commission (BVI FSC). It is prepared with reference to the Insurance Act, 2008, the Insurance Regulations, the Regulatory Code, the 2023 fee regulations and the company registration notices 2025–2026. It explains statutory categories, applicant entities, personnel, capital, fees, company registration, changes in control and ongoing obligations. It does not promise approval, equate a registered office with substantive operations, or claim zero global tax liability.
Insurance company and intermediary detailsFinancing and Money Services
This page covers only a financing and money services licence under the Financing and Money Services Act, 2009 (as amended in 2018). It is not a substitute for a banking, insurance, investment business or virtual asset services licence. The BVI FSC reviews the proposed business, the fitness and propriety of controllers and management, organisational and financial resources, governance and ongoing compliance arrangements; a licence is not automatic. This page also incorporates the company-member, director, beneficial-ownership and annual financial filing rules for 2025 to 2026 that are closely related to the applicant entity, to avoid mischaracterising company registration obligations as approval conditions for the licence itself.
Financing / remittance / exchange detailsApproved Manager is an approval pathway; VASP is a registration regime; funds may be subject to recognition or registration. Ordinary company registration is not authorisation to conduct financial business.

Common misconceptions about applications, acquisitions and company formation,
Answers start with accurately defining the business boundaries.
011. Is a BVI Approved Manager a full investment business licence?
No. It is an approval pathway for specified fund investment-management or investment-advisory business under the Regulations. A qualifying person need not obtain a standard SIBA licence for that related business, but remains subject to FSC supervision and must not conduct business beyond the scope of the Regulations.
Consult Regulatory Basis022. Which entities may apply? Can an individual apply directly?
The Regulations apply to a BVI Business Company or a limited partnership registered in the BVI. An individual cannot obtain this approval in a personal capacity; companies and limited partnerships must also meet their respective ongoing governance requirements.
Consult Regulatory Basis033. Can I commence business immediately after submitting an application?
It cannot be summarized as permission to commence business immediately and unconditionally upon filing. A complete application must generally be filed at least 7 days before the proposed commencement date; an application that meets the Regulations may conduct the relevant business while under review from the filing date for up to 30 days, with a possible extension of up to an additional 30 days. If the application is refused or the period expires without a valid extension, the business must cease.
Consult Regulatory Basis044. Does the FSC guarantee approval within 30 days?
No guarantee is given. The guidance states that the FSC will endeavor to process the matter and communicate its decision within that period or an extended period, but the outcome is affected by the completeness of the information, requests for further information, fitness and propriety, structural complexity, and public-interest considerations.
Consult Regulatory Basis055. How many funds can an Approved Manager manage?
Article 10 of the Regulations does not generally limit the number of persons who may be served, unless the FSC imposes a requirement to the contrary. The key issues are whether each client falls within the permitted scope, whether AUM is within the cap, and whether disclosures in the application and annual return are accurate.
Consult Regulatory Basis066. How should US$400m and US$1bn be understood?
The combined AUM cap for Private and Professional Funds is US$400m; the AUM cap for closed-ended funds is US$1bn. For open-ended funds, AUM is calculated as NAV less liabilities; for closed-ended funds, it is calculated by reference to investors’ committed capital. If the applicable cap is exceeded, the FSC must be notified within 7 days.
