BVI VASP virtual asset service registration: business scope, application requirements, fees and ongoing compliance

BVI VASP Registration

The BVI regulates virtual asset service providers (VASPs) by registration, rather than by issuing a single general licence for all crypto businesses. Whether registration is required depends on the services actually operated for others: exchanging virtual assets for fiat currency or other virtual assets, transferring virtual assets on behalf of clients, safeguarding or controlling access instruments, and financial services related to an offer or sale by a virtual asset issuer may all fall within the Virtual Assets Service Providers Act, 2022. A BVI company carrying on such business for overseas customers is also deemed to be carrying on business from the BVI. This article is prepared by reference to the FSC legislation, application guidance, fee regulations and company registration notices in force as of the verification date. The FSC assesses fitness and propriety, governance, funds, systems and ongoing compliance on a case-by-case basis; any stated time is a regulatory service target or working estimate, not a promise of approval. 1. What VASP registration is—and is not

What BVI VASP Registration Covers

VASP is a registration status regulated by the FSC, not a generic licence covering all “crypto businesses”. The VASP Act prohibits any person from carrying on virtual-asset services in or from within the BVI without registering with the FSC. An individual must not carry on or hold themselves out as carrying on VASP services as a business; a proposed operator should apply through an appropriate corporate and regulatory structure.

The key considerations are the substance of the business, the persons served, and whether services are provided to or on behalf of another person—not the product name, whether it calls itself Web3, whether the platform is entirely online, or whether customers are in the BVI. A BVI company that conducts business for foreign clients, or purports to be able to provide virtual-asset services, is still legally regarded as conducting business from the BVI. Registration does not automatically cover securities investment, banking, money services, insurance, or other regulated activities. The full business model should be analyzed activity by activity to determine the regulatory boundaries.

  • Registration is granted by the FSC, not issued independently by the registered agent
  • The FSC must be satisfied that the applicant continues to meet fit and proper, prudent conduct, resources and public interest requirements.

Do not describe company formation, registered agent services, opening a bank account, or launching a technology product as having obtained VASP registration.

02

2. Which business activities may fall within the scope of VASP

Activities Within Scope

The statutory core activities include: exchange between virtual assets and fiat currencies, and exchange between different virtual assets; transfer of virtual assets on behalf of another person from one address or account to another; safekeeping or administration of virtual assets on behalf of another person, or safekeeping or administration of instruments that enable the service provider to control such assets; and participation in or provision of financial services related to an issuer’s offer or sale of virtual assets.

An exchange is a trading platform that provides offers or invitations to trade virtual assets and has custody, control, power over or possession of funds or virtual assets. Custody services mean accepting virtual assets or instruments that enable a VASP to control assets for safekeeping. Each is subject to separate higher fees and additional application requirements. The fact that a platform does not hold fiat currency does not, by itself, exclude it from being assessed as an exchange or custody service.

Proposed ServicesPreliminary regulatory focusDetermine Registration Category

Arrangements involving custody of private keys, MPC permissions, or control over customer walletsWhether there is effective control over clients’ assets or instrumentsVirtual asset custody services
Exchanging currency for clients, transferring funds, or providing related financial services to issuersWhether statutory services are provided, or provided on behalf of othersGeneral virtual asset services, or assessment alongside other regulatory regimes

The table above is for preliminary scope screening only; a single business model may trigger multiple registration categories or other laws.

03

3. Boundaries between DeFi, NFTs, proprietary trading and technology services

DeFi, NFTs and Boundary Analysis

The FSC’s application guidance expressly states that establishing a DeFi platform, selling NFTs, operating a peer-to-peer financing platform and other novel virtual-asset concepts may fall within the VASP Act only if they meet the statutory definition. Accordingly, the labels “DeFi”, “NFT”, “protocol”, “community” or “peer-to-peer” alone do not establish whether VASP registration is required.

The statutory definition of “virtual asset” also contains exclusions: a digital representation of fiat currency and other assets or matters specified by guidance, as well as a record of a claim on fiat currency, securities or other financial assets held with a financial institution that can be digitally transferred but only represents that claim, are outside the definition. The boundaries between proprietary investment, pure software development, non-controlling technology supply and actual client services must be assessed individually in light of control, fees, marketing, client relationships, asset flows and governance arrangements.

  • First, map the flows of funds, private keys, permissions, orders and customer instructions
  • Distinguish between the development and maintenance of protocol code and the provision of services to clients in the course of business.
  • Token issuance does not in itself automatically require registration; check whether you participate in or provide financial services relating to an issuer’s offer or sale.

Do not reach an unsupported conclusion that an exemption applies on the grounds of “decentralisation” or “providing technology only.”

04

4. Applicant entity, shareholders and UBO look-through

Applicant, Shareholders and UBOs

The application materials must clearly show the FSC the applicant and its control chain. Typically, prepare the latest register of members and a complete ownership chart tracing through to the ultimate beneficial owners, showing the legal name and percentage of ownership at each corporate tier. Where there are intermediate holding companies, trusts or other arrangements, also provide the relevant constitutional documents, registers of members/directors and trust documents. The information should explain actual ownership, control and source of funds, rather than consist only of a high-level chart.

FSC guidance warns that a structure so complex that the ultimate beneficial owner or controller cannot be identified may result in delay or refusal. Shareholders, UBOs, directors and senior officers are all subject to fit-and-proper review. Applicants should truthfully disclose regulatory history, litigation or insolvency, sanctions and adverse media that may affect assessments of integrity, competence or financial soundness, and prepare explanations and supporting materials.

  • The name, place of incorporation, shareholding percentage and form of control of each entity at every tier
  • Evidence of the individual UBO's identity, residential address, nationality and birth details, and the source of funds/wealth
  • Trusts, nominee arrangements, pledges, options and other arrangements that may change control
05

5. Directors, senior officers, CO, MLRO and authorised representatives

Directors, Compliance Roles and Authorised Representative

The VASP board should be able to explain who is responsible for strategy, risk, compliance, technology, client assets, outsourcing and incident escalation, and demonstrate actual oversight capability through verifiable résumés, allocation of responsibilities, and meeting and reporting mechanisms. The FSC VASP guidance does not permit corporate directors. Appointments and changes of directors or officers must follow applicable prior-approval and notification requirements; personnel arrangements must not be treated as final before the regulatory steps are complete.

The compliance officer (CO) and money laundering reporting officer (MLRO) must have adequate authority, independence, resources and escalation channels to perform their duties. Whether the same person may hold both roles, and whether case-by-case approval is required, must be assessed in light of the applicant’s specific structure, applicable AML/CFT regulations and FSC requirements; it must not be assumed that one person will automatically be accepted for both roles. Except where there is a significant management presence in the BVI, a VASP must also continuously appoint an FSC-approved authorised representative (AR). The AR is a statutory role serving as the principal point of contact with the FSC, receiving legal documents, and usually filing documents and making payments on the entity’s behalf.

RoleKey role of VASPRegulatory Considerations
Directors/OfficersGovernance, prudent conduct and management decisionsFit and proper person and applicable approval / change procedures
CO/MLROEstablish, oversee and escalate compliance and AML/CFT responsibilitiesDuties, independence, available time, qualifications and applicable approval requirements
Authorized Representative (AR)FSC key contacts, service of documents and required record retentionFSC approval is required; an AR vacancy must generally be filled within 21 days, and the period pending approval is not counted

“Authorized Representative” is not synonymous with an ordinary registered agent, nor does it replace the ongoing responsibilities of the board and management.

06

6. Capital, Funds and Financial Soundness

Capital and Financial Soundness

The VASP Act requires a VASP to remain financially sound at all times. The FSC has not published in the Act a single minimum paid-up capital figure applicable to all VASP applicants; capital is assessed on a risk basis. Applicants must submit projections for initial capital, establishment costs and finances for the first three years, and explain the source of funds and how they will continue to meet obligations under stress.

The FSC considers the nature, size, scope and complexity of the business, expected transaction volumes, leverage, custody of client assets, liquidity, technology and cyber risks. Custody and exchange services are generally considered higher-risk activities and should be able to support greater capital and control requirements. The FSC may impose professional indemnity insurance or a similar arrangement, as well as a regulatory deposit, as conditions of registration. This does not mean that all applicants face the same coverage amount or fixed deposit.

  • Three years of profit and loss, balance sheet, cash flow and stress scenarios
  • Start-up costs, AML/CFT, cybersecurity, audit, AR, and outsourcing costs
  • Traceable evidence of shareholder capital contributions and source of funds
  • Segregation Arrangements for Client Assets and Own Funds

Do not promote “zero capital,” “fixed minimum capital” or “guaranteed no security deposit”; these claims are inconsistent with a risk-based review.

07

7. Registered office, actual connection with the BVI and economic substance

BVI Address, Local Presence and Economic Substance

A VASP application must provide its physical address in the BVI and propose an authorised representative. At the company level, the applicant must also maintain a registered office and registered agent as required by law. The physical address, records held at the AR’s office and the company’s registered office are not interchangeable elements that can be covered by a single general undertaking. Application materials should explain where actual management, recordkeeping, personnel, outsourcing, technical operations and customer-asset control take place.

Economic substance is a tax/company-compliance matter that must be analysed independently according to the “relevant activities” actually carried on by the entity. VASP registration does not automatically lead to a conclusion that the entity “necessarily satisfies” or “does not need to satisfy” economic substance requirements. If the entity actually conducts fund management, financing and leasing, headquarters or other relevant activities, separate economic substance obligations may arise. Ordinary registered-office services should not be promoted as automatically satisfying all requirements for actual premises, management presence or economic substance.

If overseas technology, cloud services, or outsourced functions are used, disclose in the application the scope of the services, due diligence, agreements, oversight, and exit arrangements.

08

8. Technology infrastructure, custody and client assets

Technology, Custody and Client Assets

The FSC’s application guidance requires applicants to provide a description of technical infrastructure proportionate to the business, covering system controls, independent technology assurance or system-audit methods and reports, stress and capacity testing, cybersecurity, business continuity and disaster recovery. Platforms, wallets, private keys, MPC, hot and cold storage, smart contracts, access controls and third-party cloud or on-chain analytics services should all be supported by evidence of governance, recordkeeping and testing.

A VASP must make client assets identifiable, provide appropriate segregation and accounting, and put suitable protection arrangements in place. If client assets are found to have been unlawfully interfered with or otherwise impaired, the VASP must immediately notify affected clients and the FSC, and explain the measures taken or proposed for recovery and prevention of recurrence. For custody and exchange applications, client-asset flows, control, reconciliation, clearing, liquidity and exit plans are core review areas.

  • System Architecture, Data Flows and Responsibility Matrix
  • Private keys/access rights and authorization approval controls
  • Independent testing, vulnerability management, incident response and exercise records
  • Arrangements for client asset segregation, reconciliation, loss handling and cessation of business
09

9. AML/CFT, sanctions, Travel Rule and record-keeping

AML/CFT, Sanctions and Recordkeeping

A VASP must establish appropriate systems and procedures to comply with the VASP Act and laws concerning money laundering, terrorist financing and proliferation financing. Applications typically require an operational framework for AML/CFT, customer due diligence, ongoing monitoring, sanctions screening, suspicious transaction escalation, training, internal controls and independent review—not merely a generic template. Implementation of the Travel Rule, information transmission, handling of exceptions, wallet risks and data protection should also be matched to the actual service model.

The Act specifically requires measures to collect clients’ IP addresses and relevant dates/timestamps, geolocation data, device metrics, virtual-asset wallet addresses, and transaction hashes, while also requiring consistency with the Data Protection Act, 2021. A VASP must maintain records sufficient to explain transactions, determine its financial position, prepare reports, and demonstrate complaint-handling and AML/CFT safeguards, and retain them for at least five years.

Do not promise “zero KYC,” “no sanctions screening,” or market on the basis of client anonymity; this is incompatible with VASP statutory obligations.

10

10. Application materials and submission order

Application Package and Filing Process

A complete application is based on the FSC-designated VASP forms, supporting documents and corresponding application fee, and is usually submitted with assistance from an AR, BVI legal counsel, local service provider or registered agent. The application is not limited to company information: the business plan must describe experience; the nature, scale, scope and complexity of the business; the technology used and methods of delivery; marketing and expected sources of business; initial and long-term human resources; outsourcing; and three-year financial projections. A written risk assessment is also required.

Assemble a consistent evidentiary package comprising corporate documents, ownership/control chain, director and key-person information, auditor consent, proposed AR, governance and internal controls, and compliance and technical materials. Applications must be made under the relevant category or categories, with the applicable fees paid. Before filing, confirm that the business description, system architecture, asset control, financial projections and personnel responsibilities are consistent throughout, to avoid contradictions during enquiries.

11. FSC review process and indicative timelines

FSC Review Process and Timing

The FSC’s VASP application guidance states that the Commission aims to issue preliminary comments within six weeks of receiving an application and uses completion of the application within six months from first submission as a service standard. These are regulatory targets, not statutory guarantees or a fixed “licensing timeline” as sometimes described in the market. Missing materials, technical complexity, opaque ownership chains, slow responses to inquiries or changes in business scope can significantly extend the review.

When the FSC requests further information or clarification, an applicant is generally required to respond within 30 days or an approved extension; failure to respond may be treated as withdrawal. A more prudent project plan separately estimates the business-scope and document-preparation stages, pre-application information consolidation, FSC inquiry rounds, satisfaction of registration conditions and launch preparations, rather than compressing all stages into a marketing figure promising completion in “a few weeks.”

Before registration has been granted, do not commence or advertise VASP services as authorised regulated services.

12

12. Official VASP fees and cost basis

Official VASP Fees and Cost Scope

The table below lists the official FSC US-dollar fees for VASPs under the Financial Services (Fees) (Amendment) Regulations, 2023. The application fee is separate from the initial registration fee payable after registration is approved and the annual renewal fee. Custody and exchange activities are not subject to the same annual fee tier. The 2025 year fee amendment concerned the appointment of a compliance officer/MLRO; it did not change the main VASP fee tiers shown here.

Government fees are not the total project budget. Government charges for incorporation and annual continuation of a company are determined under the Companies Act fee schedule applicable to the company type and authorised share structure. Fees for an AR, registered agent, legal services, audit, compliance, insurance, technology and personnel, as well as any regulatory deposit, are not fixed items in this schedule. Until the specific company structure and current schedule are verified, do not quote a uniform total price or state that charges will remain unchanged.

Where an application involves multiple categories, FSC guidance states that an application fee is payable for each relevant category. AR also has statutory charges of US$1,500 for application, US$2,000 for initial approval and US$2,000 for annual renewal.

13

13. BVI company register: UBO, register of members and director information

Company Registers: UBOs, Members and Directors

From 2025-1-2, all BVI Business Companies and limited partnerships must file beneficial ownership (BO) information with the Registrar of Corporate Affairs through VIRRGIN. The register of directors, register of members (ROM) and BO filing are separate filings, with no statutory order in which they must be submitted. The FSC’s 2025 notice also makes clear that existing entities must refile their register of members under section 43A of the BVI Business Companies Act and the transitional provisions, even if no members have changed.

An entity that is newly formed, registered or migrated on or after 1 July 2025 must file BO information or exemption information within 30 days. If information already filed is inaccurate or no longer up to date, or the entity becomes aware of a change to BO information, it must also update the information or notify the Registrar within the prescribed 30 days, unless an extension has been obtained. A shareholding chart in a VASP application and a company registration filing are not interchangeable documents: the former supports the FSC’s regulatory assessment, while the latter fulfils a company registration obligation.

  • The registration information should be consistent with the register of members, UBO ownership chart, application form, and any subsequent application concerning a change of control
  • Late days are calculated as full calendar days, including weekends and public holidays
  • If system functionality is unavailable, retain evidence of timely attempts to register and notify the Registrar in accordance with FSC announcements.
14

14. Are directors’ names public? Private by default, with publication available by choice

Director Details and Public Availability

Directors’ particulars must be filed through VIRRGIN in accordance with company law and FSC requirements, but this does not mean every director’s name automatically becomes public. The FSC’s Procedure Guide for Submission of Directors’ Details states that the submission interface is set to PRIVATE by default; directors’ details become public company records only if the user expressly selects PUBLIC. Therefore, it is not appropriate to advertise BVI directors’ details as “inherently absolutely confidential,” nor to claim broadly that the names of all company directors automatically become public.

The FSC’s public search service permits paid access to search reports, public registers, certificates of good standing and other entity certificates. A search report also lists transaction history and may be used to request certified or uncertified copies of specific filed documents. Availability of information depends on the company’s public-disclosure choices, the public registers available and the category of documents requested. When organising director information, applicants should incorporate registration accuracy, the timeliness of updates and information availability into privacy notices and governance arrangements.

Do not make sales promises that “directors are never publicly disclosed” or “directors are always fully public”; explain the actual arrangements for default privacy, optional disclosure and paid public searches.

15

15. Legitimate-interest access mechanism for beneficial ownership information

Legitimate Interest Access to Beneficial Ownership Information

The BVI’s legitimate-interest access mechanism commenced on 1 April 2026, but it is not a public UBO database searchable across the entire register by name. An application must relate to a specific entity and be made online. Applicants must demonstrate that they are acting to prevent, investigate or detect money laundering / terrorist financing / proliferation financing; are involved in a relevant conviction or proceeding; or are a regulated obliged entity applying for BVI AML customer due diligence purposes. The FSC will review identity, evidence, necessity and the public interest.

Where eligible, accessible information includes the beneficial owner’s legal full name, date of birth, nationality, and the nature of their interest or control. The mechanism primarily applies to beneficial owners who hold 25% or more of shares, capital, profits or voting rights, have the right to appoint or remove a majority of directors, or otherwise control management. The fee for each application is US$75, with an additional US$75 for certified copies. An entity or registered agent may file an objection within 5 days after notice, and then submit an opposition within a further 5 days. If there is no objection, the FSC indicates that access will be provided within 12 working days after the application is submitted.

Exempted BO information is not disclosed. A rejected objector may notify an intention to appeal within 3 days, in which case disclosure will be suspended; the appeal must be filed within 21 days.

16

16. Annual returns, audit and ongoing maintenance

Annual Returns, Audit and Ongoing Maintenance

After registration, a VASP must continuously maintain fit and proper status, adequate organisational and financial resources, and compliance and technical controls. The VASP Act requires an auditor to remain in office unless exempted; the FSC must be notified within 14 days of appointment; the auditor’s report must be submitted within 6 months after the end of the financial year, with extensions totalling no more than 6 months. The FSC may require specified information, verified supplementary information, or other audit/control reports.

FSC VASP guidance also lists an annual return, annual financial statements and an annual compliance officer report as ongoing requirements. A company's general annual filing (Annual Return) follows a different company-law route: the FSC's 2025 notice explains that companies regulated under financial-services legislation and required to submit financial statements are among the listed exemptions. Therefore, without checking the entity's status and applicable legislation, the BVI general-company Annual Return must not be described as the same filing that is necessarily added for every VASP.

  • Maintain records of customer due diligence, transactions, complaints, asset protection, training, risk, and board oversight
  • Report the level of compliance, client geography, financial position, risks/losses and material outstanding complaints as directed by the FSC
  • Check the respective due dates for annual renewal fees, audits, annual returns, compliance reports and company registry updates.
17

17. Share acquisitions, changes of control and material changes

Change of Control and Material Changes

Any person who directly or indirectly sells, transfers, pledges or otherwise disposes of a significant or controlling interest in a VASP, or directly or indirectly acquires such an interest, must first obtain the FSC’s written approval. A VASP itself must not permit or acquiesce in an allotment of shares, share restructuring or other arrangement that results in the acquisition or change of a significant or controlling interest unless prior written approval has been obtained. The application is made by the VASP, and the relevant fees are also paid by the VASP.

The FSC may approve only if the person acquiring the interest after the change continues to meet the fit and proper standard. Deliberately splitting a transaction into multiple deals, using a nominee holder or filing after completion does not remove the prior-approval requirement. The provision contains a specific exception for VASPs listed on a recognised exchange, but first confirm whether the exchange falls within the statutory definition of a recognised exchange; ordinary “listing” or a token being listed is not itself an exception.

  • Shareholding or control transactions: obtain written approval first
  • Directors/senior officers, ARs, and auditors: each must comply with the applicable approval, notification, and replacement rules
  • Company records and BO records: coordinate the 30-day update obligation
  • For material changes to business scope, technology, outsourcing or client asset arrangements: first determine whether FSC consent or notification is required.

Do not substitute a uniform percentage such as 10% that does not apply under the VASP Act for the statutory determination of “significant interest / controlling interest.”

18

18. An Approved Manager is not an alternative route to VASP registration.

Approved Manager Is Not a VASP Alternative

An Approved Investment Manager (Approved Manager) is a separate, simplified regime for investment management and investment advice, serving the management of or investment-advice activities for eligible private funds, professional funds and eligible closed-ended funds. It does not authorize the operation of a virtual-asset exchange, virtual-asset custody, virtual-asset transfers on behalf of clients, or financial services relating to token issuance. It therefore cannot be used as a shortcut substitute for VASP registration.

Its current statutory fees should be considered separately from those for a VASP: the application fee is US$1,200, and the approval and annual renewal fees are US$1,800 each. The complete written application and supporting materials must be submitted at least 7 days before the proposed start of business, unless the FSC agrees in writing to a shorter period. FSC guidance indicates that it aims to decide within 30 days after submission, or to extend that period. 7 days is the advance submission requirement and 30 days is the review target; neither permits a business to start immediately without submitting an application.

Approved Manager indicatorsCorrect terminology
Asset limits for private / professional fundsTotal: US$400 million or equivalent
Asset threshold for closed-ended fundsTotal of US$1 billion or equivalent
Exceeding the CapNotify within 7 days; generally, new business should cease, and the issue must be rectified or an SIBA licence applied for within 3 months. Continued operations are subject to the FSC’s written consent.
Economic SubstanceEconomic substance should be assessed independently based on the relevant activities actually carried out; Approved Manager status alone neither automatically excludes nor automatically satisfies the requirement.
19

19. Do not conflate money services, insurance and VASP

Do Not Conflate Money Services, Insurance and VASP

The Financing and Money Services Act, 2009 provides for only two statutory licence types: a financing licence and a money services licence. It does not establish a purported Class A to F money services licence system. Money services include remittances, cheque cashing, currency exchange, the issue, sale or redemption of money orders or travellers’ cheques, other services prescribed by regulations, and acting as an agent or franchisee of an operator of any of those businesses. A particular payment or fiat exchange model may raise multiple regulatory issues, but it must not be incorrectly labelled a VASP or assigned a fictitious A–F classification merely because it involves crypto assets.

Insurance is not a subcategory of VASP. Insurer licence categories and separate licensing or business routes for insurance managers, insurance intermediaries and loss adjusters should be assessed separately under the Insurance Act and its amendments. Insurance managers and insurance intermediaries should not be simply described as “VASP Classes E/F.” This topic addresses VASP registration only. If the business also involves fiat payments, financing, investment management, securities, insurance or trust services, obtain a separate legal and regulatory assessment specific to those activities before marketing or providing services.

Do not market non-existent “BVI Money Services Class A–F licences,” or describe insurance business, insurance management or insurance intermediation as VASP categories.

Q&A

Frequently Asked Questions About This Route

FREQUENTLY ASKED QUESTIONS
01

Is a BVI VASP licensed or registered?

The VASP Act adopts a registration regime with the FSC. A registrant may operate only within the scope of its registration; registration is not a general licence to provide all financial services.

Consult Regulatory Basis
02

Do BVI companies with only overseas customers need to consider VASP requirements?

Yes. Even if a BVI company provides, or claims that it can provide, virtual asset services to clients outside the BVI, it is regarded as conducting business from the BVI, and it should assess whether registration is required.

Consult Regulatory Basis
03

Can an individual directly apply to operate a BVI VASP?

No. The VASP Act prohibits a person from carrying on, or holding themselves out as carrying on, virtual asset services by way of business or in the course of business.

Consult Regulatory Basis
04

Do NFT projects or DeFi protocols necessarily require VASP registration?

Not necessarily. FSC guidance states that it may fall within scope only if the statutory definition is met; the assessment must be based on the actual services, control and whether services are provided to others.

Consult Regulatory Basis
05

Are the official fees the same for custodians, exchanges and general VASPs?

They differ. The general VASP application fee / initial fee / annual fee is 5,000 / 7,500 / 7,500 US dollars; for custody, it is 10,000 / 15,000 / 15,000 US dollars; and for an exchange, it is 10,000 / 25,000 / 25,000 US dollars.

Consult Regulatory Basis
06

Does a VASP have a single statutory minimum paid-up capital requirement?

The VASP Act and application guidelines do not publish a uniform minimum paid-up capital amount applicable to all applicants. The FSC assesses whether funding is sufficient in light of business risk, scale, customer assets, liquidity and technology, among other factors.

Consult Regulatory Basis
07

Does a VASP necessarily need a BVI authorised representative?

Unless a VASP has a significant management presence in the BVI, it should continuously appoint an FSC-approved authorized representative. A vacancy in the AR position generally must be filled within 21 days; time pending approval is excluded.

Consult Regulatory Basis
08

Is an Annual Audit Required?

A VASP must maintain an auditor unless the FSC grants an exemption. The auditor’s report should generally be submitted within 6 months after the end of the financial year; an extension may be granted, but the total period must not exceed 6 months.

Consult Regulatory Basis
09

Can shares or control of a VASP be acquired before notifying the FSC?

No. A direct or indirect acquisition, disposal, transfer or pledge, or a change in a material interest or controlling interest resulting from a restructuring, requires prior written FSC approval.

Consult Regulatory Basis
10

Are the names of BVI company directors now all publicly available?

It is not automatically public. Director information must be registered, but VIRRGIN is set to PRIVATE by default; director information becomes public record only if PUBLIC is expressly selected. Paid public search and document request mechanisms are also available.

Consult Regulatory Basis
11

Is UBO information accessible to anyone?

No. The mechanism launched on 2026 4 1 is an entity-specific access mechanism requiring proof of legitimate interest; it is not a public UBO database that can be searched freely by name.

Consult Regulatory Basis
12

Does the general company Annual Return requirement necessarily also apply to VASPs?

It cannot be stated categorically. The FSC notice in 2025 lists companies regulated under financial services legislation and required to submit financial statements as exempt from the general company annual financial filing. A VASP must still complete its own applicable annual returns, financial statements, audit and compliance reports.

Consult Regulatory Basis
13

Can an Approved Manager replace VASP registration?

No. An Approved Manager may provide investment management or investment advice for eligible funds under a separate regime; it does not authorise operation of a virtual asset exchange, custody or other VASP business.

Consult Regulatory Basis
14

Do the Approved Manager application’s 7-day advance period and FSC 30-day review period mean that business may commence immediately?

No. 7 days is the advance filing requirement for a complete written application; 30 days is the FSC’s target for seeking to make a decision, or an extension of that period. It does not permit business to begin without filing an application or before it has been processed.

Notes on verification and corrections to the information on this page
  • Removed the wording that described VASP as a general licence covering all “crypto/Web3 businesses”; the assessment has been revised to consider statutory services and actual control on a case-by-case basis.
  • Correction—VASP fees: For a general VASP, the application fee is US$5,000, and the initial and annual fees are US$7,500 each. Custody fees are 10,000 / 15,000 / 15,000 US dollars; exchange fees are 10,000 / 25,000 / 25,000 US dollars. The original draft’s combined range of 10,000 to 20,000 US dollars for custody and exchange was inaccurate.
  • Removed figures for a uniform VASP minimum capital, uniform insurance coverage, fixed technical audit frequency and fixed approval timelines that were not supported by official sources for this topic; capital and conditions should be assessed by the FSC on a risk basis.
  • Correction to company filing information: BO information is filed through VIRRGIN, while the register of members and director information must be registered separately. BO rules for new entities and changes use a 30-day period, not the BOSS 15-day period stated categorically in the original draft.
  • Correction to the disclosure statement for director information: VIRRGIN is PRIVATE by default; a deliberate selection of PUBLIC is required for information to become a public company record. There are also paid public searches/document requests and a legitimate-interest access mechanism; do not claim absolute confidentiality or automatic full public disclosure.
  • Supplementary information on the 2026 legitimate interest access mechanism: entity-specific, requiring proof of legitimate interest, and not allowing arbitrary name-based searches; application fee US$75, with certified copies costing an additional US$75.
  • Correction to the general company Annual Return statement: companies regulated under financial services legislation and required to submit financial statements fall within the exemption specified in the FSC notice from the general company annual financial return requirement. Do not conflate the annual financial filing for ordinary companies with ongoing VASP reporting as if they were the same universal obligation.
  • Correction—Approved Manager: A complete application must be submitted at least 7 days before the proposed commencement of business. The FSC endeavours to decide within 30 days or extend the period; this does not permit business to commence without filing or before the application has been dealt with. Fees are US$1,200 for the application and US$1,800 each for approval and annual renewal. The AUM limits are US$400m for private/professional funds and US$1bn for closed-ended funds.
  • Corrected the economic substance statement: Approved Manager or VASP status does not in itself automatically exclude an entity from, or satisfy, economic substance requirements; these must be assessed independently based on the entity’s actual relevant activities.
  • Correction to the money services classification: the Financing and Money Services Act, 2009 establishes only two licence types—financing licences and money services licences. The original draft’s Class A to F money services classifications do not apply.
  • Corrected the insurance classification: insurer licensing, insurance management, insurance intermediaries and loss adjusters are separate routes under insurance regulations, not VASP classifications. Insurance managers/intermediaries must not be described as “VASP Category E/F”.
  • Remove unsupported promotional claims, statistics or case-study implications, including “most popular”, “second largest globally”, “multiple successful projects”, “reduces enquiries from 5 rounds to 2 rounds”, and “zero/very low tax”.
