About the author

The following is general business and regulatory information. An acquisition is usually a transaction involving the shares or control of a licensed company, not an independent transfer of a licence; approval, notification, reporting, and audit requirements under different regimes must be assessed separately.

01

Clarify each step of the timeline and review obligations.

TIMELINE, AUDIT & CLOSING

Acquisition route

01

Does acquiring a BVI-licensed company mean buying a licence that can be transferred independently?

Generally, no. The transaction is usually the acquisition of shares in or control of a licensed company as a matter of law; the licence remains with the original licensed entity. The buyer also assumes that entity’s regulatory record, contracts, personnel, systems, client relationships and potential historical liabilities. First verify that the licence is valid and that its scope and conditions still cover the proposed business; do not treat the licence as an asset that can be separated from the company and freely transferred.

Mr Tang’s recommendation

Before signing the letter of intent, prepare a mapping table of “target entity—scope of licence—proposed business—controllers” and cross-check it against the original licence, FSC correspondence and company records.

Risk warning:An “existing licence” does not automatically authorize the buyer’s new products, client types, asset-control arrangements or cross-border marketing; a change of control made without the applicable process cannot be remedied simply after closing.

02

How should the critical path for acquiring a BVI-licensed entity be broken down?

A prudent process typically includes target screening; confidentiality arrangements and data-room access; regulatory, corporate, tax, AML, contract and systems due diligence; transaction structuring and a share purchase agreement; any applicable regulatory approvals or notifications; third-party consents; updates to closing registrations; and operational and compliance handover after closing. Each step should include a verifiable stop point: if licensing scope, the suitability of controllers, historical deficiencies, contract transfer or funding resources cannot be established, the parties should be able to renegotiate, remediate or exit.

Mr Tang’s recommendation

Use a transaction checklist to specify, for each step, the person responsible, location of evidence, prerequisites and unresolved matters; do not substitute the seller’s summary for originals or traceable records.

Risk warning:Do not combine signing a letter of intent, obtaining documents, regulatory approval and completion into a single “acquisition timeline”; they are driven by different parties and different facts.

Timing and Regulatory Procedures

03

How long does it take to acquire a BVI licensed company? Can a fixed number of months be guaranteed?

A fixed number of months cannot responsibly be promised. Internal preparation, KYC follow-up, data-room completeness, verifiability of controllers and sources of funds, FSC enquiries, third-party contract consents, bank reviews and closing conditions all affect timing. Certain statutory deadlines apply only to specific regimes or events and cannot replace the time needed for approval and due diligence, nor do they constitute a commitment by the FSC or a third party to complete the process.

Mr Tang’s recommendation

Divide the project plan into five parallel workstreams: internal preparation, regulatory procedures, contractual consents, completion and post-completion continuity; update the critical path based on actual evidence.

Risk warning:Do not promise a timeframe for all BVI licence acquisitions based on claims such as “completion guaranteed within a few months”, “completion without questions” or the statutory notification period under a single regime.

04

What is the difference between regulatory approval time and the transaction's internal preparation time?

Internal preparation time is for verifying objectives, documenting the buyer’s control chain and source of funds, preparing transaction documents, completing the data room and obtaining contractual consents. The regulatory approval period depends on a complete application under the applicable legislation, FSC review and any requests for further information. The two processes may partly run in parallel, but a change of control requiring prior written approval must not be implemented early because internal documents have been signed, consideration is ready or the seller is pressing for completion.

Mr Tang’s recommendation

In the transaction timetable, list “may prepare,” “may sign,” “may complete” and “may actually operate” as four separate statuses, and specify the evidence and decision-maker for each status.

Risk warning:Signing does not constitute regulatory approval, and regulatory approval does not automatically satisfy change-of-control requirements imposed by banks, clients, outsourcers, or other contractual counterparties.

Regulatory Changes

05

Do the same notification rules apply to changes in shareholders, directors and control for all BVI licences?

Not applicable. Different regulatory regimes may apply prior approval, written notification, register updates or case-specific conditions to changes in significant interests, controlling interests, directors, senior officers, authorized representatives, business scope or application information. For example, under SIBA or VASP, the direct or indirect acquisition or disposal of a significant or controlling interest, and a restructuring that may result in such an outcome, require prior written approval. An Approved Manager has its own notification rules for changes to application information. The target regime and licence conditions should be identified before determining the transaction sequence.

Mr Tang’s recommendation

Create a matrix of “event—policy—whether prior approval is required—whether notification is required—company registry update—responsible person”, and ensure the transaction documents conform to that matrix.

Risk warning:Do not copy the shareholding thresholds, director procedures or notification deadlines of one regime to another category of licensee, and do not mistake a company registry update for regulatory approval.

06

Why can the Approved Manager 14-day notification not be treated as a general rule for all BVI licence acquisitions?

Under the Approved Manager rules, when information previously provided in an application changes, the relevant entity must notify the FSC in writing subject to the prescribed conditions. This rule supports ongoing eligibility under the regime and the updating of information. It does not replace any prior written approval that may be required for transactions involving significant or controlling interests by a SIBA licensee or VASP, nor does it replace update requirements under company law, those of the registered agent, banks or contracts. An acquisition must be analysed item by item according to the target entity’s actual regulatory status.

Mr Tang’s recommendation

If the target has multiple regulatory statuses or the group includes multiple regulated entities, prepare a separate change checklist for each entity.

Risk warning:Closing first and then reporting within 14 days may overlook approvals that should have been obtained in advance and conditions precedent in the transaction documents.

07

The target licensed company’s permitted scope does not fully match the buyer’s business plan. What should be done first?

First map each proposed service, client type, jurisdiction, control over funds or assets, product, fee and outsourcing arrangement against the target licence and any additional conditions. If the buyer plans to add a business category, custody or control client assets, change the client base or alter the actual operating model, determine before signing whether a separate application, licence variation, consent or discontinuation of that part of the plan is required. An acquisition should not be used to bypass the classification of the business.

Mr Tang’s recommendation

Place licence certificates, approval letters, business plans, client contracts and system permissions in a single verification table to identify discrepancies between actual operations and the permitted scope.

Risk warning:The same or similar marketing name does not mean the statutory permitted scope is the same; operating beyond the approved scope can immediately expose post-acquisition compliance risks.

Data room and regulatory due diligence

08

What regulatory and corporate documents should at a minimum be included in the acquisition due diligence data room?

A data room should at least cover licence and condition documents; applications and ongoing communications with the FSC; constitutional documents; share ownership and ultimate control chain; records of directors and senior officers; registered agent and registered office information; statutory registers and relevant filings; annual fee or renewal status; financial statements and management accounts; tax and economic-substance materials; material contracts; client-asset and banking information; AML/CFT records; complaints and litigation; and evidence relating to personnel, outsourcing, systems, data and cybersecurity. A data room’s value lies in traceability and consistency, not in the number of documents.

Mr Tang’s recommendation

For each key document, record its version, date, source, coverage period and cross-check results against other records.

Risk warning:Seeing only a certificate of incorporation, a copy of a licence or seller presentation materials does not prove the licensing status, historical compliance or basis for sustainable operations.

09

How can you verify a target company's licences, annual fees and regulatory records rather than relying solely on the seller's statements?

Request the licence or registration certificate, any conditions or variation approvals, the latest renewal and fee-payment evidence, FSC correspondence, filed returns or acknowledgements, inspection or inquiry correspondence, and board records of material matters. Cross-check these against company registers, registered-agent records, actual business activities and counterparty information. If unexplained gaps are found, address them through supplementary documents, conditions precedent, specific indemnities, price adjustments or exit rights, rather than relying solely on oral explanations.

Mr Tang’s recommendation

Use an item-by-item verification checklist to record four statuses—“original seen,” “verified,” “pending,” and “unable to verify”—and include unresolved items in a disclosure letter.

Risk warning:The absence of an FSC inquiry does not mean there are no compliance issues; likewise, a historical inquiry does not necessarily prevent a transaction. The key considerations are the facts, the handling record and any residual risks.

10

How should a target’s historical regulatory inquiries, inspections, remediation and customer complaints affect the acquisition assessment?

Investigate historical queries, onsite or offsite inspections, deficiency notices, remediation plans, evidence of follow-up reviews, unresolved regulatory matters, significant complaints, and records of their resolution. VASP annual reporting itself covers significant complaints and their resolution; other regulated entities should also retain records that explain governance, controls, and customer handling. Due-diligence conclusions should not simply state “no issues”; they should distinguish closed matters, matters still under remediation, unverified matters, and historical liabilities to be borne by the seller.

Mr Tang’s recommendation

For each matter, prepare an issues list stating the event, root cause, regulatory communications, remediation owner, verification evidence, residual risk and transaction treatment.

Risk warning:Concealing historical complaints or remediation, or broadly marking them “resolved” without evidence, may leave the buyer to inherit the same regulatory and client risks after completion.

AML/CFT audit and remediation

11

What should be sampled in pre-acquisition AML/CFT due diligence, rather than merely reviewing an AML policy?

On a risk-based basis, sample-check the actual files for customers and transactions, including customer identity and ultimate beneficial owners, business purpose, source of funds or wealth, risk ratings, sanctions and adverse information screening, ongoing due diligence updates, transaction monitoring, escalation of unusual activity, handling of suspicious activity, training, management oversight, and recordkeeping. The AML/CFT Code requires internal controls to incorporate risk assessment, customer due diligence, periodic review, and remediation mechanisms. Accordingly, the gap between template policies and actual implementation is the key focus of acquisition due diligence.

Mr Tang’s recommendation

Design samples by client, region, product, channel, transaction amount, unusual events and recent remediation, and document the sampling rationale, findings, responsible persons and remediation deadlines.

Risk warning:There is no single “sampling ratio” or one-off passing conclusion that applies to all entities; the sample scope should be proportionate to the nature, size, complexity and risk of the business.

12

What is the difference between an independent AML/CFT review and a statutory financial audit?

The two serve different purposes. An independent AML/CFT review assesses whether risk assessment, customer due diligence, sanctions and ongoing monitoring, reporting and escalation, training, and internal controls are actually implemented. It should be performed by an independent person or outsourced arrangement capable of objective assessment, with a compliance audit report retained. A financial audit concerns financial statements and applicable accounting and auditing standards. Audited financial statements do not automatically prove that AML/CFT controls are effective, and vice versa.

Mr Tang’s recommendation

Index the AML/CFT review reports, management remediation tracking, financial audit reports and management accounts separately in the data room, and verify their coverage periods and any qualifications.

Risk warning:Do not treat having an external accountant as a substitute for AML/CFT independence and control testing, or describe AML review conclusions as an audit opinion on financial statements.

13

How should an acquisition agreement address incomplete AML/CFT remediation?

First distinguish immediate legal or regulatory risks, remediation that can be completed before closing, remediation that the new team can continue, and matters requiring disclosure or regulatory confirmation. Transaction documents may allocate protections according to risk, including closing conditions, the seller’s pre-closing obligations, representations and warranties, specific indemnities, escrow or retention, information handover, a remediation budget and post-closing reporting mechanisms. No arrangement should prevent the regulated entity itself from providing truthful and complete information to regulators or fulfilling ongoing obligations.

Mr Tang’s recommendation

Require the seller to provide root-cause analysis, remediation plans, testing evidence and regulatory communications, and list each outstanding item in the closing checklist.

Risk warning:Simply relabelling remediation as “post-completion optimisation” obscures control deficiencies; the buyer should avoid taking them on without resources, an accountable owner and evidentiary standards.

Audit and Financial Reporting

14

Approved Managers are generally not required to appoint an auditor. Does this mean that they do not need to prepare financial statements?

No. The Approved Manager guidance states that an Approved Manager is not normally required to appoint an auditor, but must still prepare and submit financial statements under the applicable rules. The usual timing stated in the existing guidance is six months after the end of the financial year. An exemption from financial statements must be requested in writing and is subject to an FSC decision. Auditor appointment, financial statements, accounting records and AML/CFT controls are separate matters. Other laws, contracts, group policies or case-specific FSC requirements may also apply separately.

Mr Tang’s recommendation

Before completion, obtain the latest financial statements, director or general partner documents, filing receipts, and any exemption or extension documents, and verify the financial year and filing calendar.

Risk warning:Do not promote “no requirement to appoint an auditor” as automatic exemption from financial statements, books, accounting support or case-specific requirements imposed by the FSC.

15

Are an Approved Manager’s annual return and financial statements the same document as an ordinary BVI company’s Annual Financial Return?

These are not one document and should not share a single deadline. An Approved Manager has an annual-return filing obligation to the FSC and an obligation to prepare its own financial statements. An ordinary BVI company's Annual Financial Return, by contrast, is a company-law financial-information regime under which the company files with its registered agent. The FSC's company annual-return notice makes clear that companies regulated under financial-services legislation and required to report financial statements are among the exemptions from that company regime. Applicability in practice must still be verified against the entity's regulated status, financial year and rules in force at the time.

Mr Tang’s recommendation

Maintain separate calendars for the regulatory compliance officer, finance officer and registered agent, and retain a filing receipt or written exemption for each obligation.

Risk warning:Do not collectively call information submitted to a registered agent, regulatory returns filed with the FSC, annual fee renewals, and BO/register updates “annual review.”

16

Can the audit and internal audit requirements for SIBA-licensed entities directly follow the Approved Manager rules?

No. An Approved Manager is a separate, limited regime. For an SIBA-licensed entity, external audit, financial statements and filing requirements must be assessed according to its specific licence category, applicable laws, the Regulatory Code, FSC notices, any exemptions and case-specific conditions. The Regulatory Code requires licensees to establish governance, internal-control and compliance arrangements proportionate to the nature, size, complexity and risk of their business, and, where applicable, to maintain an independent internal-audit function. This is distinct from the role of an external financial audit.

Mr Tang’s recommendation

During due diligence, obtain licence conditions, the latest audit and internal audit materials, compliance officer reports, FSC notices and exemption documents, and verify them by entity rather than at group level.

Risk warning:The statement that an Approved Manager “is not required to appoint an auditor” must not be taken to mean that all SIBA-licensed entities are exempt from audits or internal control testing.

When acquiring a VASP, how should the auditor and audit report be verified?

The VASP Act requires a VASP to have an auditor on an ongoing basis unless exempted by the FSC. The auditor’s report must be submitted within six months after the end of the financial year, with any approved extensions totalling no more than six months. Due diligence should obtain the auditor’s appointment, consent or exemption, the latest audit report, management letter, evidence of submission, qualifications and remediation tracking, and verify that information on client assets, technical controls and AML/CFT is consistent with the business description.

Mr Tang’s recommendation

Reconcile the audit report coverage period with the latest pre-closing management accounts, client asset reconciliations, material events, and FSC correspondence.

Risk warning:The existence of an audit report does not mean that all compliance issues have been audited; an unappointed auditor, late audit or unexplained qualified opinion should be identified as a completion risk.

18

When acquiring a fund or a fund-related entity, how should fund audits and financial statements be distinguished under the applicable regimes?

The applicable requirements should be determined by fund category, not by treating “fund” as a single category. The FSC’s fund financial statements guidance requires mutual funds of each type and Private Investment Funds to prepare financial statements under their respective regimes and generally file them within six months after the financial year-end. Public, Private and Professional Funds must also continuously appoint an auditor, unless an applicable exemption is granted. Reporting, audit, extensions and exemptions for Incubator Funds, Approved Funds and PIFs must not be treated as automatically equivalent; the relevant legislation and FSC documents should be obtained.

Mr Tang’s recommendation

First confirm whether the fund is a Public, Private, Professional, Incubator, Approved Fund or PIF, then request evidence concerning the auditor, financial statements, extensions and exemptions item by item.

Risk warning:Fund entities, manager entities and an acquired holding company may be subject to different filing pathways; a single group audit does not automatically cover each entity’s obligations.

Client Assets and Contracts

19

Why should client assets, bank accounts and contracts be treated as separate due diligence workstreams in an acquisition?

Client assets, accounts, payment channels, and client contracts are not assets automatically included with, or guaranteed by, a licence certificate. Verify the legal and practical control of funds or virtual assets; identification and segregation of client assets; reconciliation; authorization permissions; banks’ or custodians’ KYC; change-of-control, transfer, termination, and re-onboarding clauses in contracts; and whether there are any pledges, freezes, complaints, or disputes. For a VASP, client-asset protection and recordkeeping requirements especially need to be cross-checked against system permissions and actual wallet control.

Mr Tang’s recommendation

Separately classify each key account, client-asset arrangement and contract as “continuable, consent required, re-KYC required, migration required or not to be relied on”.

Risk warning:Do not assume that banks, clients, custodians or payment service providers will continue working with the target after closing merely because an account or contract is nominally held in the target’s name.

20

How should completion be arranged when change-of-control clauses appear in contracts with banks, payment channels, customers and outsourcing providers?

Review change-of-control, transfer-restriction, early-termination, renewed-KYC, notice, consent, data-return and service-continuity clauses individually. If ongoing operations depend on a particular bank, payment channel, key client or outsourcing provider, appropriate written consent, renewal, a substitute arrangement or a migration plan should form part of the closing conditions or purchase-price arrangements. Outsourcing by a licensee does not transfer the board’s and management’s responsibility for systems, controls and regulatory obligations.

Mr Tang’s recommendation

Prepare at least one workable alternative for each critical relationship, and allow realistic buffer time for approval, renewed KYC and data migration.

Risk warning:An oral statement that “there will be no impact” is not consent; without consent or an alternative plan, the relationship should not be counted as value that is ready to transfer at closing.

Tax, Accounting and Systems Due Diligence

21

What questions should be addressed separately in accounting, tax and systems due diligence?

Accounting due diligence addresses whether assets, liabilities, revenue, expenses, cash, related-party balances and management accounts are consistent with the financial statements and bank information. Tax and economic substance due diligence addresses whether historical filings, tax residence, information exchange, applicable tax treatment and potential underpayments have been identified. Systems due diligence addresses who owns or is entitled to use the code, domain, cloud accounts, data, keys, administrator privileges and logs, and whether cybersecurity, backups, business continuity and supplier exit arrangements adequately support ongoing operations. All three should connect to transaction representations and warranties, consideration and post-closing continuity.

Mr Tang’s recommendation

Have the accounting, tax and technology leads cross-check the same fact sheet: the legal entity, financial year, accounts, contracts, data controllers and key permissions must be consistent with one another.

Risk warning:“BVI company” or “existing system” in itself does not prove that tax treatment is correct, data can be lawfully continued, or intellectual property can be used on an ongoing basis.

22

Why should systems and data due diligence be included in a compliance audit, rather than treated only as an IT check?

For regulated business, systems determine whether client information, transaction records, control of client assets, segregation of duties, monitoring, regulatory reporting and incident response can be evidenced. The Regulatory Code incorporates information systems, internal controls, record retention and business continuity into the governance framework; VASP applications and ongoing obligations also involve technical infrastructure, cybersecurity, client assets and traceable records. A buyer should verify actual administrator access, key or MPC permissions, log completeness, vulnerability and incident records, cloud and outsourcing agreements, and the legality of data migration.

Mr Tang’s recommendation

Before completion, prepare a permissions inventory and conduct a least-privilege handover exercise; include key accounts, backups, data exports and supplier contacts in the completion package.

Risk warning:Obtaining only account passwords or server access does not amount to lawful control over code, data or client assets, nor does it satisfy recordkeeping and security obligations.

Closing conditions

23

How should closing conditions in a share purchase agreement address regulatory and compliance risks?

The agreement should set out verifiable conditions covering completion of any applicable regulatory approval or procedure; information on controllers and key personnel; the absence of any material undisclosed regulatory matters; key contracts or third-party consents; licence and renewal status; material financial and AML/CFT facts; data-room accuracy; no material adverse change; and closing documents and handover of authority. Historical matters or outstanding remediation may be allocated through specific indemnities, escrow, price adjustments, remediation undertakings, and termination rights, but contractual arrangements must not substitute for statutory approvals.

Mr Tang’s recommendation

Link each condition to the underlying evidence, latest completion date, responsible party and consequences if unmet; ensure the disclosure letter and data-room index are cross-referenced.

Risk warning:“Complete first, organise later” without clear conditions and an exit mechanism exposes the buyer to the concurrent risks of regulatory non-approval, inaccurate information and third-party non-consent.

24

Once regulatory approval has been obtained, can closing necessarily be completed?

Not necessarily. Regulatory approval addresses part of the applicable regulatory process; closing may still depend on corporate authorisations, the seller’s title, financing, custody or payment arrangements, consent to contractual change of control, renewed KYC by banks or payment channels, data-room disclosure, availability of key personnel and other conditions precedent. Conversely, satisfying all commercial conditions does not replace written regulatory approval where it is required. The project lead should manage the two sets of conditions in parallel.

Mr Tang’s recommendation

Hold an item-by-item conditions confirmation meeting before closing, separately identifying the evidence and exceptions for regulatory, corporate, contractual, financial, operational, and technical conditions.

Risk warning:Do not expand the meaning of an FSC approval letter to treat it as a guarantee of bank account opening, client consent, contract renewal, absence of historical liabilities, or reasonableness of the acquisition price.

Closing and Transition

25

What registrations, access rights and records need to be transitioned on the closing date?

On the closing date and immediately thereafter, address the applicable arrangements for shareholders, directors, beneficial owners, registers of members or directors, registered agent, regulatory contacts, bank signatories, customer and supplier notices, auditors or key personnel, system administrators, data control and the compliance calendar. The records handover should include regulatory correspondence, policies, training, customer risk files, complaints, audit materials and remediation records, so the new control team can continue to explain historical facts and fulfil ongoing obligations.

Mr Tang’s recommendation

Prepare a time-phased closing checklist: specify who is responsible for each item on the closing date, within the prescribed notification period, before the next regulatory filing, and during the first full financial year.

Risk warning:Completion of the share register does not mean operational handover is complete; if access rights, records, or responsible persons are not transferred, the entity may immediately be unable to demonstrate ongoing compliance.

26

How can a new shareholder verify compliance continuity after closing, rather than merely taking over the documents?

After closing, the new team should perform a continuity review: confirm that the scope of the licence matches the actual business; check the status of key personnel and the authorised representative; review bank and client-asset permissions; test AML/CFT escalation and monitoring processes; and check outstanding remediation, the next annual or periodic filing, audit arrangements, significant complaints and system backups. The work should produce an action list that the board or management can track, rather than simply archiving the data room as received.

Mr Tang’s recommendation

At the first post-closing compliance meeting, confirm each responsible person, deadline, evidence standard and trigger for escalation to the board or FSC.

Risk warning:Handing all historical documents to the new team does not prove that controls operated effectively; post-closing testing and completion of remediation are equally important.

27

After an acquisition, can the business be expanded immediately, new clients accepted, or assets of new clients taken over?

First confirm that the expanded activities remain within the scope of the licence or registration, that the applicable change-of-control procedures have been completed, and that key personnel, resources, AML/CFT, client-asset controls, systems, contracts and banking arrangements can support the additional activities. Changes to business scope, client type, products, control of funds or assets, or outsourcing model may require separate regulatory analysis, an application, consent or notification. Completion of an acquisition does not automatically open up all new business activities.

Mr Tang’s recommendation

Classify the post-closing business plan into three categories: “continue within the original scope,” “continue after conditions are met,” and “requires separate approval or will not be conducted.”

Risk warning:Taking on new business beyond the original authorisation or control capacity in order to meet revenue targets will compound the acquisition’s historical risks with new compliance risks.

Transaction decision

28

When should an acquisition of a BVI-licensed company be suspended, renegotiated or abandoned?

Pause, renegotiate, or withdraw if the scope or current status of the licence cannot be verified; new controllers or sources of funds fail suitability checks; the data room contains material gaps that cannot be explained; there is no reliable evidence of remediation of historical regulatory, AML, or client-asset issues; key banking or contractual relationships cannot be carried over; or regulatory approvals and transaction conditions cannot be met. Acquisition value comes from a verifiable basis for ongoing operations, not from a licence certificate or the seller’s assurances about timing, costs, account opening, or the absence of historical liabilities.

Mr Tang’s recommendation

Set a “proceed / provide further information / renegotiate / exit” decision gate before signing, before submitting the regulatory application and before closing; retain the reasons and evidence.

Risk warning:Do not substitute unverified fixed timelines, fee quotes, success probabilities, guarantees of account opening, or uniform notification periods for transaction judgment.
