About the author

The following is general information, not legal or tax advice for a particular case. If a condition, deadline or figure cannot be verified from official sources, do not retain the speculative conclusion in the source draft.

301

The core authority of an Approved Manager is to provide investment management or investment advisory services, within the statutory scope, to qualifying funds and related structures; it is not a general virtual asset fund licence. Fund establishment and recognition, digital-asset custody, trading platforms and other services must be assessed separately; management status does not automatically confer authorization for them.

Mr Tang’s recommendation

First prepare a comparison table mapping the activities and authorizations of the fund, manager, custodian and trading platform.

Risk warning:Treating management approval as a custody or exchange licence may constitute operating beyond the authorised scope.

Consult Regulatory Basis
302

First determine whether the application is for fund recognition, Approved Manager status, a SIBA licence or VASP registration, rather than assuming there is a separate “emerging strategy category.” Materials typically focus on the business plan, control chain, key personnel, financial resources and compliance arrangements. Where digital assets are involved, also explain valuation, asset control and technology risks.

Mr Tang’s recommendation

First confirm the application route using the business workflow, then prepare a document checklist based on the corresponding official forms.

Risk warning:Choosing the wrong application route may leave the materials unable to demonstrate that the actual business is authorised.

Consult Regulatory Basis
303

Ongoing compliance monitoring may use an obligations checklist, assigned owners, filing evidence, escalation of anomalies and board review, with training and independent checks scheduled according to risk. An Approved Manager must submit a regulatory annual return by January 31 each year; financial statements are generally due within six months after year-end. Manage these two filings separately.

Mr Tang’s recommendation

Establish a compliance calendar distinguishing regulatory filings from company maintenance matters.

Risk warning:Risk: treating filings for different years as a single item may lead to an omission.

Consult Regulatory Basis
304

A BVI Approved Manager is a limited investment management or advisory approval route under FSC supervision, pursuant to the Approved Managers Regulations and SIBA; it is not a full investment-business licence. This does not establish that the Cayman Islands regime is stricter or more permissive; the specific Cayman route, permissions and ongoing obligations must be compared against the actual business and the latest applicable materials.

Mr Tang’s recommendation

Use the same business model to prepare a comparison table of permissions and ongoing obligations in the two jurisdictions.

Risk warning:Risk: treating different regulatory statuses as licences that can be directly substituted for one another.

Consult Regulatory Basis
305

It cannot be stated categorically that the BVI is faster or cheaper than the Cayman Islands. The official application fee for a BVI Approved Manager is one thousand two hundred US dollars, with an approval fee and annual renewal fee of one thousand eight hundred US dollars each, in addition to professional services and maintenance costs. Applying seven days in advance and the conditional pending-business window do not guarantee approval; current Cayman requirements must be checked separately.

Mr Tang’s recommendation

Request fee budgets from service providers in both locations, broken down on the basis of the same scope of business.

Risk warning:Risk: Mistaking the application lead time for the deadline for approval to be completed.

Consult Regulatory Basis
306

A BVI Approved Manager may provide management or advisory services to eligible funds and related structures only within the statutory scope; it is not automatically authorised to enter the Hong Kong or any other market. The scope, marketing rules and exemption conditions for a Hong Kong Type 9 licence must be confirmed against the latest local materials. The two should not be broadly characterised as a global licence and a local licence.

Mr Tang’s recommendation

First, specify the actual locations of Hong Kong client contact, marketing and investment decision-making activities.

Risk warning:Risk: conducting unconfirmed regulated activities in Hong Kong in reliance on BVI approval.

Consult Regulatory Basis
307

A BVI Approved Manager is not free from prudential or compliance requirements; it remains subject to restrictions on the persons it may serve, scale, governance, reporting and AML obligations. Its requirements should not be deemed lower than Singapore’s solely based on the regime’s name. The capital, personnel and risk-control requirements of specific MAS licences must be compared item by item against the proposed activities and latest applicable materials.

Mr Tang’s recommendation

First compile the business scope, personnel responsibilities and capital budget as a basis for comparison.

Risk warning:Risk: Underestimating operating costs based on unverified judgments about how strict regulation is.

Consult Regulatory Basis
308

BVI Approved Manager approval should not be treated as a passport to the EU market; its scope is limited to management or advisory activities recognised under the BVI regime. Whether a Luxembourg route can support the proposed EU distribution, whether a passport is available, and the applicable conditions must be assessed case by case based on the product, manager status, target countries and latest applicable materials.

Mr Tang’s recommendation

First list the proposed investor categories for the target EU country.

Risk warning:Risk: relying on purported passporting for cross-border fundraising without confirmation.

Consult Regulatory Basis
309

BVI Approved Manager approval does not itself provide a passport authorising direct access to international markets. It covers only qualifying management or advisory business within the statutory scope. Any permissions or exemptions relating to overseas marketing, customer services and place of business must be confirmed separately under the latest applicable documents for each target market; they should not be assumed to apply automatically.

Mr Tang’s recommendation

Prepare a checklist for verifying marketing and service permissions in each target market.

Risk warning:Risk: Mistaking BVI approval for authorization to operate across borders.

Consult Regulatory Basis
310

First identify the suitable regulatory route and entry requirements in the target jurisdiction, then plan how personnel, governance, capital, contracts and assets will transition. Redomiciliation or setting up a new entity does not automatically transfer BVI approvals. BVI obligations must continue to be met during the transition, and approval, notification and tax-treatment requirements for each business and entity change should be confirmed separately.

Mr Tang’s recommendation

Prepare a transition plan with confirmation of the new qualification and continuity of client contracts as milestones.

Risk warning:Risk: a gap in operating authorisation between the exit from the old status and the effective date of the new status.

Consult Regulatory Basis
311

Assess whether services may be provided to mainland China clients by looking first at the service, client location and marketing conduct, rather than the location of the licence. A BVI Approved Manager does not automatically confer mainland China or Hong Kong distribution qualifications. The scope of any Hong Kong licence must also be checked separately; do not assume mutual recognition, a distribution channel or a client-confidence advantage.

Mr Tang’s recommendation

Before first contacting clients in Mainland China, have a local adviser review the proposed marketing and contracting process.

Risk warning:Cross-border solicitation may breach securities or fund distribution restrictions in the client’s jurisdiction.

Consult Regulatory Basis
312

A responsibility matrix can allocate tasks among the board, management, authorized representative, AML officer, and overseas service providers, with reporting and escalation mechanisms. Outsourcing does not replace oversight. An exemption from specific Approved Manager compliance requirements does not mean AML/CFT or MLRO arrangements are automatically exempt.

Mr Tang’s recommendation

Prepare a cross-border compliance calendar that identifies the responsible person, reviewer, and filing evidence.

Risk warning:Gaps in responsibilities may cause suspicious activity not to be escalated in a timely manner.

Consult Regulatory Basis
313

The practical limitation is that BVI regulatory status does not automatically replace the operating or marketing licences required in the target market. Whether a usable mutual-recognition arrangement exists must be checked against the specific entity, business, customers and current local rules. BVI company registration or Approved Manager status alone cannot be represented as permitting cross-border operations.

Mr Tang’s recommendation

Ask advisers in the target market to confirm the specific market-access basis proposed to be relied upon.

Risk warning:Relying on unconfirmed mutual recognition arrangements may result in unlicensed operations.

Consult Regulatory Basis
314

The BVI management entity and the entity in the target market can be positioned separately, with information and governance standards aligned, but this cannot guarantee fewer regulatory enquiries. Each entity should clearly define its authority over customer contracts, investment decisions, marketing and asset control. Before adding a country, business line or entity, independently confirm local licensing requirements and the boundaries of the BVI business.

Mr Tang’s recommendation

First, pilot an entity-responsibility and regulatory-requirements comparison table in one target market.

Risk warning:Mixing authority between entities may result in unlicensed cross-border services.

Consult Regulatory Basis
315

It is not appropriate to characterize BVI reviews as focusing only on documents, nor to compare Singapore’s review preferences without verification. The BVI assesses the fitness and propriety of relevant persons and whether management, organization and resources are adequate. Applicants should submit verifiable résumés, responsibilities, integrity records and conflict disclosures. Singapore requirements should be checked separately for the specific licence.

Mr Tang’s recommendation

Create a unified file of background information and role-related evidence for each proposed key person.

Risk warning:Concealing regulatory or adverse background information may affect the fit-and-proper assessment.

Consult Regulatory Basis
316

An upgrade should be based on business needs and licensing boundaries, not on an abstract pursuit of a more prestigious licence. First monitor client eligibility and the limits of four hundred million US dollars in open-ended relevant AUM and one billion US dollars in closed-ended committed capital. If a limit may be exceeded, services are to be expanded or a new market is to be entered, assess the standard SIBA or local licensing route in advance.

Mr Tang’s recommendation

Establish a scale and new-business alert table, and initiate a licence review before any threshold is crossed.

Risk warning:Continuing to operate beyond the scope of an Approved Manager may breach the limits of the authorisation.

Consult Regulatory Basis
317

In the short term, first address AML/CFT, the scope of permissions, scale monitoring and information updates; in the medium term, strengthen board oversight, outsourcing controls and business continuity. Approved Manager regulatory returns are due by January 31 each year, and financial statements are generally due within six months after the financial year-end. Economic substance must be assessed separately based on actual activities.

Mr Tang’s recommendation

First, conduct a gap assessment and add high-risk gaps to the remediation calendar.

Risk warning:Omitting an annual regulatory return may trigger regulatory action.

Consult Regulatory Basis
318

A BVI Approved Manager is an approval route under SIBA and the Approved Managers Regulations for providing limited investment management or advisory services to qualifying funds and related structures; it is not an unrestricted, full licence. The specific status and permissions under the Cayman Islands CIMA regime must be checked separately against the actual business and cannot be treated as an equivalent product automatically.

Mr Tang’s recommendation

First clarify the specific regulatory status sought in the Cayman Islands, then compare the business permissions item by item.

Risk warning:Treating different regulatory statuses in two jurisdictions as equivalent qualifications may lead to operating beyond the permitted scope.

Consult Regulatory Basis
319

No conclusion can be given that the BVI or Cayman Islands is generally more lenient. A BVI Approved Manager is subject to limits concerning service recipients, scale, governance, AML/CFT and ongoing filings, and is not exempt from regulation merely because activities are outsourced. The two jurisdictions should be compared requirement by requirement against the same business model, asset control arrangements and target markets.

Mr Tang’s recommendation

Prepare a comparison of licensing boundaries and ongoing maintenance costs in the two jurisdictions, based on the actual business.

Risk warning:Choosing a location on the basis of leniency may cause actual applicable regulatory obligations to be overlooked.

Consult Regulatory Basis
320

A BVI Approved Manager does not automatically obtain authorization to distribute or market in Hong Kong; its approval principally covers fund investment management or advisory services within the statutory scope. The scope of Hong Kong Category 9 and whether a separate distribution licence is required must be verified against the specific activities and the latest local documents. It should not be promoted as approval that permits direct marketing.

Mr Tang’s recommendation

Have Hong Kong counsel review the proposed promotional materials, client outreach and sales process.

Risk warning:Mistaking asset-management authority for full distribution authority may result in unlawful solicitation.

Consult Regulatory Basis
321

A BVI Approved Manager is a limited-scope approval, not ordinary company registration. The applicant must be a BVI company or registered limited partnership. A company must continuously have two directors, one of whom must be a natural person, and an FSC-certified authorised representative. Singapore requirements should be checked separately for the intended licence; the two jurisdictions should not be characterised broadly as having different levels of strictness.

Mr Tang’s recommendation

Verify the requirements for entities, personnel and ongoing compliance in both jurisdictions against the same service model.

Risk warning:Completing company incorporation without obtaining the required approvals may constitute unlicensed business activity.

Consult Regulatory Basis
322

BVI fund status or Approved Manager approval does not automatically confer qualification to market in Europe, and market access cannot be resolved merely through an agent or local company. Whether a Luxembourg structure has an available passporting arrangement must be checked for the specific product, manager status and target Member States; it cannot be represented as unconditional direct access to the whole European market.

Mr Tang’s recommendation

First, select the target country, then obtain a marketing-access review for the relevant product.

Risk warning:Soliciting investors in Europe without confirmation may breach local distribution rules.

Consult Regulatory Basis
323

For a multi-jurisdictional structure, first check the manager’s licensing scope, the eligibility of each fund or client, and the rules of the marketing and actual management locations. A BVI Approved Manager covers only limited investment management or advisory activities. Economic substance, AML and corporate transparency obligations must be assessed separately; BVI approval cannot replace overseas market access.

Mr Tang’s recommendation

First map the entities, clients, decision-making locations and fund flows, then indicate the licensing responsibilities for each jurisdiction.

Risk warning:Actual activities outside the BVI may trigger local licensing requirements that have not been met.

Consult Regulatory Basis
324

BVI approval must not be treated as a “passport” for access to global markets, and an Approved Manager is not an investment business licence of unlimited scope. It provides regulatory status within the statutory scope in the BVI. Whether services may be offered or marketed to overseas clients must still be determined based on the target market, investor type and actual activities; no credit or fundraising outcome should be promised.

Mr Tang’s recommendation

Before entering a new market, obtain written confirmation from local advisers on the boundaries of the services and marketing.

Risk warning:Mistaking BVI approval for authorization to sell overseas.

Consult Regulatory Basis
325

Moving to a regulatory route in the Cayman Islands or Singapore should be treated as a separate assessment of local eligibility, not an automatic upgrade or conversion of BVI approval. In practice, the parties may first compare the gaps in business scope, personnel, capital, governance and reporting, and then plan the application and business handover. Local requirements and procedures must be confirmed case by case against the latest applicable documents.

Mr Tang’s recommendation

Please ask local counsel to prepare a gap analysis comparing the existing arrangements with the eligibility requirements for the proposed application.

Risk warning:Transferring the business before the new qualification is in place may create a licensing gap.

Consult Regulatory Basis
326

To exit the BVI Approved Manager business, first confirm the approval-termination procedure and outstanding regulatory obligations rather than simply stopping fee payments or dissolving the company. You can first review management agreements, client notices, business transfer, filings and record-retention arrangements. The specific approval, notification and retention periods must be verified against the actual status and latest documents.

Mr Tang’s recommendation

Before ceasing business, prepare an exit and outstanding matters checklist with BVI advisers.

Risk warning:Regulatory filing or contractual obligations may remain after exit.

Consult Regulatory Basis
327

The verification materials currently available do not support a conclusion that any particular mutual-recognition arrangement covers the proposed business; regulatory cooperation or information-sharing must not be treated as market access. An Approved Manager is effective only within its own statutory scope. If relying on mutual recognition, confirm individually whether the arrangement is current, which entities and activities it covers, and whether a local application is still required.

Mr Tang’s recommendation

Submit the name and scope of the proposed mutual-recognition arrangement to the target regulator for confirmation.

Risk warning:Conducting business in reliance on a non-existent or inapplicable mutual recognition arrangement.

Consult Regulatory Basis
328

For cross-border KYC and AML, establish a common core process and add jurisdiction-specific modules as required, rather than simply using one “strictest standard” as a substitute for all rules. In practice, clearly allocate responsibility for customer and BO verification, source of funds, ongoing monitoring and escalation of suspicious matters. A specific CO exemption for an Approved Manager does not waive AML obligations.

Mr Tang’s recommendation

Prepare an AML differences table by jurisdiction and assign a responsible person to each difference.

Risk warning:A uniform template omits a jurisdiction’s independent reporting requirement.

Consult Regulatory Basis
329

Reporting frequency should not be compared by jurisdiction name alone; compare the requirements applicable to the entity and its regulatory status. A BVI Approved Manager must submit a regulatory annual return by 1 31 each year, and financial statements are generally due within six months after the financial year-end. This differs from a company’s annual financial filing to its registered agent. Specific requirements in the Cayman Islands and Hong Kong must be checked separately.

Mr Tang’s recommendation

Use the same business model to prepare a comparison table of forms, receiving authorities and deadlines in the three jurisdictions.

Risk warning:Mistaking the company’s annual filing for completion of regulatory returns

Consult Regulatory Basis
330

It cannot be concluded that the BVI is cheaper than other jurisdictions without comparing budgets on a like-for-like basis. The official application fee for a BVI Approved Manager is 1,200 US dollars, and the approval and annual renewal fees are 1,800 US dollars each. Company, registered-agent, authorised-representative and professional-service costs are additional. Obtain separate quotes for other jurisdictions based on the intended applicant eligibility and actual staffing arrangements.

Mr Tang’s recommendation

Ask service providers in each jurisdiction to provide itemised budgets based on the same business assumptions.

Risk warning:Comparing only government fees may underestimate total ongoing compliance costs.

Consult Regulatory Basis
331

Cross-border marketing requires confirmation of the manager’s permitted activities, the fund’s offering category and the rules in each target market. Approved Manager approval does not automatically permit worldwide distribution or replace fund recognition or registration. Check licensing, disclosure and AML arrangements by investor type, distribution channel and the actual place of solicitation, and do not present a private offering as public promotion.

Mr Tang’s recommendation

Before publishing marketing materials, have an adviser in the target market review the audience, channels and wording.

Risk warning:Soliciting retail investors without local authorization.

Consult Regulatory Basis
332

The timeline should be planned backwards from the admission conditions in both jurisdictions, with preparation able to proceed in parallel; it is not always necessary to complete the BVI process first. Confirm the business classification, entities and personnel first, then arrange materials and regulatory engagement. A complete BVI Approved Manager application should in principle be submitted at least seven days in advance; the pending-application operating window is conditional and lasts up to thirty days, not a guarantee of approval within seven days.

Mr Tang’s recommendation

Prepare the project plan around the conditions for approval or lawful commencement in both jurisdictions, allowing time for requests for additional information.

Risk warning:Mistaking the application submission date for an unconditional commencement date.

Consult Regulatory Basis
333

Prioritise demonstrable governance, clear business boundaries and ongoing compliance capability rather than merely adding formal structures. Establish customer eligibility and scale monitoring, a filing calendar, AML escalation processes and cross-border marketing reviews. Reassess Approved Manager eligibility before adding customers, strategies or markets; assess economic substance based on actual relevant activities.

Mr Tang’s recommendation

Conduct a joint review of eligibility, scale, and market access before each business expansion.

Risk warning:Business growth takes the business beyond the scope permitted for an Approved Manager.

Consult Regulatory Basis
334

What is the difference between a BVI Approved Manager and a full SIBA licence?

An Approved Manager is an approval route for providing limited management or advisory services to qualifying funds and related structures; it is not synonymous with Category 3. The AUM cap for related open-ended funds is US$4 billion, and the committed capital cap for related closed-ended funds is US$10 billion. A standard SIBA licence authorizes only the categories stated on it and is not an unlimited “full licence.”

Mr Tang’s recommendation

Mr Tang recommends checking each fund individually for client eligibility and separately summarising open-ended AUM and closed-ended committed capital.

Risk warning:Exceeding the scale or client-eligibility boundaries may mean that the Approved Manager conditions are no longer met.

Consult Regulatory Basis
335

What is the difference between an Approved Manager and a fully licensed SIBA entity in terms of the asset size cap?

The aggregate AUM cap for an Approved Manager’s qualifying open-ended related funds is US$4 billion, and the aggregate committed capital cap for qualifying closed-ended related funds is US$10 billion; these are calculated separately. These caps should not be applied directly to a standard SIBA licence, which remains subject to its approved scope, capital resources and FSC case-specific conditions. It must not be promoted as authorization for unlimited business.

Mr Tang’s recommendation

Aggregate the current and projected scale using both measures, then assess whether a standard SIBA licence is required.

Risk warning:Using AUM and committed capital interchangeably may obscure an excess over the limit.

Consult Regulatory Basis
336

What scale of private fund manager is an Approved Manager suitable for?

An Approved Manager is suitable for managing or advising eligible BVI companies or registered limited partnerships of qualifying funds within the statutory scope. The aggregate AUM of private/professional funds must not exceed US$4 billion, and the aggregate committed capital of qualifying closed-ended funds must not exceed US$10 billion. Meeting the size limits is not sufficient; the eligibility of the service recipients must also be checked, and the route does not apply to every small manager.

Mr Tang’s recommendation

First verify the eligibility of each fund, then establish a size-monitoring table with figures aggregated by category.

Risk warning:Providing services to ineligible funds may result in the loss of Approved Manager status.

Consult Regulatory Basis
337

Can a BVI fund manager also manage funds established outside the BVI?

Managing overseas funds may be considered, but the manager must meet the scope of its own authorisation and the relevant conditions. An Approved Manager may serve only qualifying overseas funds permitted by the regulations and must aggregate relevant amounts as required. A standard SIBA licensee must also check its authorised categories. BVI eligibility does not automatically resolve licensing issues in the overseas fund’s home jurisdiction or marketing jurisdiction.

Mr Tang’s recommendation

Compile the regulatory status, service contracts and scale of each overseas fund separately, and check cross-border eligibility.

Risk warning:Cross-border unlicensed business may arise if an overseas fund is ineligible or a separate local licence is required.

Consult Regulatory Basis
338

Is a BVI Approved Manager suitable for cross-border investment in Belt and Road projects?

This may be considered as a candidate route for cross-border investment management by a qualifying fund, but a “Belt and Road” project label does not itself establish eligibility. The service recipients, investment management or advisory activities, and size limits must be checked. Merely holding an interest in a project differs from operating fund management, and an Approved Manager does not automatically resolve licensing, tax or marketing requirements in the project’s jurisdiction.

Mr Tang’s recommendation

First map the entities and funds flows of the project, fund and manager, then determine whether this approval is needed.

Risk warning:Mistaking a project investment vehicle for a manager route may result in the wrong regulatory structure being selected.

Consult Regulatory Basis
339

What are the BVI FSC's minimum requirements for the composition of the board of a regulated entity?

Minimum board composition should be distinguished by regulatory route. A corporate Approved Manager must always have two directors, one of whom is a natural person. An FMS licensee in the BVI must have at least two directors, all of whom must be natural persons. VASP guidance does not permit corporate directors. Other categories should be checked against the latest applicable materials and licence conditions.

Mr Tang’s recommendation

First determine the regulatory pathway, then prepare a checklist of director headcount, status and approval requirements.

Risk warning:Applying the director rules for one licence category to another category may result in non-compliance.

Consult Regulatory Basis
340

How should the overall timeline for application, approval and operational launch be arranged?

The timeline should sequence completion of materials, submission and inquiries, the regulatory decision, satisfaction of conditions and launch readiness, with buffer for external dependencies. A complete Approved Manager application should in principle be submitted at least seven days in advance. Its conditional operating window of up to thirty days from submission is not a guarantee of approval within seven days and cannot be applied to other licences.

Mr Tang’s recommendation

Set the launch date as a milestone to be reached only after the approval status and all conditions have been checked.

Risk warning:Launching in accordance with an internal plan rather than the actual authorisation status may constitute unlicensed business.

Consult Regulatory Basis
341

What due diligence and oversight mechanisms must BVI FSC licensees have in place for outsourced service providers?

Outsourcing should be governed by clear agreements, oversight records and information-access arrangements; directors or management cannot discharge their responsibilities by delegating work to a supplier. As a practical recommendation, assess supplier capability, conflicts of interest, data access, business continuity and exit arrangements, and review service performance according to risk. Specific notification and approval requirements depend on the licence and outsourced function.

Mr Tang’s recommendation

For each key outsourcing arrangement, maintain a supplier file covering oversight, evidence collection and exit arrangements.

Risk warning:An inability to obtain outsourced records may weaken regulatory inspections and incident handling.

Consult Regulatory Basis
342

What is the BVI Approved Manager regime?

Approved Manager is an FSC approval route for qualifying fund investment-management or advisory business, not an unrestricted investment licence. The aggregate AUM limit for the relevant private/professional funds is US$4 billion, and the committed-capital limit for closed-ended funds is US$10 billion; these limits are calculated separately. A complete application should in principle be submitted at least 7 days in advance. The qualifying 30-day pending-application operating window is not a guarantee of approval.

Mr Tang’s recommendation

First, use the list of funds to be served to verify client eligibility and the two types of size measures.

Risk warning:Treating a pending business window as final approval may result in operating beyond the permitted period.

Consult Regulatory Basis
343

Synergies between a BVI Approved Manager and a Hong Kong 9 licence?

A BVI Approved Manager and a Hong Kong licensed institution may cooperate in accordance with their actual functions, but each party’s authorisation must be confirmed separately; neither replaces the other or constitutes regulatory endorsement. The BVI route covers only management or advisory services within its statutory scope and is subject to restrictions on eligible persons and scale. The Hong Kong institution’s management, advisory and execution arrangements must be assessed separately against its actual licence.

Mr Tang’s recommendation

Prepare a table of the parties’ responsibilities and investment decision-making authority, and have compliance advisers in both jurisdictions confirm the service agreement.

Risk warning:A discrepancy between actual investment decisions and contractual responsibilities may result in business being conducted beyond authority.
