BVI PRACTICAL Q&A LIBRARY
This topic contains 102 questions. The answers on this page are prepared based on verified official materials and provide Tang’s recommendations and risk alerts for each question.
The following is general information, not legal or tax advice for a particular case. If a condition, deadline or figure cannot be verified from official sources, do not retain the speculative conclusion in the source draft.
01How is a BVI private investment fund defined?
A BVI Private Fund is an open-ended mutual fund route. Its core conditions are that it has no more than 50 investors or offers fund interests only privately, and that it meets the definition of a mutual fund. A private offer is not broad public marketing. A closed-ended Private Investment Fund is a separate regime and must not be confused with it.
First, check redemption rights, then review the number of investors and the manner of solicitation.
Risk warning:Misclassifying a closed-ended PIF as a Private Fund may result in choosing the wrong regulatory route.
Consult Regulatory Basis02What is the regulatory framework for private funds in the BVI?
An open-ended Private Fund generally applies to the FSC for recognition under SIBA and its subsidiary regulations, rather than obtaining a generic “fund licence.” The fund must comply with applicable financial reporting, AML/CFT and ongoing supervisory requirements. Recognition of the fund does not automatically authorize its manager or adviser to conduct investment business; company registers and BO registration must also be maintained separately.
Prepare three separate obligation checklists for fund recognition, manager qualification, and company registration.
Risk warning:Completing fund recognition alone may leave the manager’s regulatory qualifications unaddressed.
A BVI Private Fund is a private-placement route for an open-ended mutual fund. Its core condition is that it has no more than 50 investors, or that invitations to subscribe for or purchase interests are made only on a private basis. It is not the same as a Professional Fund or a closed-ended Private Investment Fund; classification should take account of redemption rights and fundraising arrangements.
First, check the fund redemption terms and the invitation method, then select an eligible recognition pathway.
Risk warning:Confusing a Private Fund with a PIF may result in applying under the wrong category.
An equity strategy should first be matched to the fund’s redemption mechanism, investor base and applicable fund category, and then define its investment scope, leverage, concentration, valuation and liquidity arrangements. These should be clearly disclosed in the fund documents and monitored. Specific restrictions are not uniform requirements for all BVI funds, and the manager’s regulatory status must be checked separately.
Prepare a comparison table of strategy, redemption terms, and risk disclosures to identify inconsistencies.
Risk warning:A mismatch between asset liquidity and redemption commitments may harm investors’ interests.
A fixed-income fund should focus on credit, interest-rate, liquidity, valuation and default risks, and align them with its subscription and redemption arrangements. The PPM should explain the investment scope, hedging methods and procedures for handling credit events. Rating ranges, duration and buffer levels are strategy-design matters and should not be presented as uniform statutory standards in the BVI.
Test valuation and redemption procedures against default and market loss-of-quotation scenarios.
Risk warning:Unreliable bond valuations may distort subscription or redemption prices for investors.
A PE fund may consider a company, limited partnership or a structure combined with project SPVs, with the choice driven by governance, capital-call and exit requirements. If it is a closed-ended collective investment fund meeting the definition, PIF recognition will generally need to be considered. A master-feeder structure or SPV is not mandatory and does not automatically provide tax benefits or ring-fencing.
First set out capital calls, decision-making rights and exit mechanisms, then compare structural options.
Risk warning:Misclassifying a closed-ended PE fund as an ordinary company may result in the PIF recognition obligation being overlooked.
Before fundraising, a VC fund should determine its regulatory path in light of its redemption mechanism and investor base, and assess whether a closed-ended structure falls within the definition of a PIF. Offering documents should clearly explain the investment stage, valuation, fees and conflicts of interest, and investor due diligence should be conducted. Anti-dilution and priority rights are transaction terms; investor eligibility and cross-border marketing requirements must be assessed separately.
Prepare a list of fundraising jurisdictions and investor types, and have advisers check the distribution boundaries.
Risk warning:Cross-border fundraising may trigger regulatory requirements in investors’ jurisdictions.
Quantitative or hedge funds should align strategy disclosures, trading permissions, valuation and liquidity arrangements. It is advisable to document model approval, data sources, back-testing limitations, parameter changes and abnormal shutdown procedures, and to establish independent review. These are risk-management recommendations, not uniform statutory model standards; the manager’s authorization must still be checked separately.
First conduct a rehearsal of one model change and confirm that approvals, testing and rollback are all traceable.
Risk warning:Model changes not subject to effective controls may cause unintended trading losses.
An umbrella fund should clearly set out the sub-funds’ strategies, allocation of fees, conversions, valuation and separate accounting arrangements. However, accounting segregation or wording in the constitutional documents does not in itself create statutory asset segregation. If a dedicated structure such as an SPC is proposed, its eligibility and legal effect must be confirmed, and the recourse boundaries must be accurately described in contracts and investor documents.
Ask a BVI adviser to check that the proposed vehicle's ring-fencing effect is consistent with its external contracts.
Risk warning:Treating accounting separation as legal segregation may leave other sub-funds liable for debts.
For a master-feeder structure, assess separately the fund recognition or registration requirements for each entity and the manager’s business qualifications. We recommend defining inter-fund investments, valuation synchronisation, fees and information flows, and assessing tax according to investors, assets and the manager’s location. The structure’s name does not guarantee tax exemption; the applicability of transfer pricing must also be confirmed case by case.
Prepare a diagram of entities, fund flows, and tax residence for joint review by legal and tax advisers.
Risk warning:Ignoring the regulatory or tax obligations of an entity at any tier may result in missed filings.
Investment mandates and outsourcing should be governed by written agreements specifying authority, fees, information exchange, supervision, conflict management and termination handover. We recommend establishing a responsibility matrix and records of service reviews, and verifying the service provider’s regulatory qualifications. Fund governance oversight cannot be transferred away merely by contract; audit access and revocation mechanisms should be designed according to the actual services and applicable rules.
Compare the agreement with the actual operating authority and check who can place orders, control assets, and terminate the services.
Risk warning:Unclear authorization or insufficient supervision may result in the trustee exceeding its authority.
Assess in particular the authority to hold assets, asset segregation, reconciliation capability, service-provider qualifications and risk record, and specify responsibilities and outsourcing arrangements in the agreement. The custody arrangement should be suitable for the fund category, nature of assets and complexity. Any alternative arrangement or exemption permitted for a specific category is conditional and does not permit custody controls to be removed unilaterally.
Ask prospective service providers to provide a process flowchart for asset control and segregation as a basis for contract review.
Risk warning:Unclear control over assets and contractual responsibilities may make it difficult to pursue recovery after asset losses.
Consult Regulatory Basis13Q263: BVI
Consider the auditor’s applicable qualifications, independence, experience with funds and relevant assets, staffing resources and ability to deliver. “International qualifications” should not be treated as a uniform admission standard. Audit and exemption rules vary by fund category. Financial statements of a fund to which the requirement applies generally must be filed with the FSC within six months after the financial year-end, so the audit plan should be coordinated in advance.
Confirm the auditor’s qualifications and delivery schedule for the proposed fund category and asset types.
Risk warning:Unsuitable audit resources or qualifications may result in late regulatory filings.
Fund documents should specify the investment scope, fees and distributions, subscriptions or capital commitments, valuation, governance, conflicts of interest, and termination arrangements. Redemption terms must be consistent with the open-ended or closed-ended nature of the fund. The management agreement should define investment authority, responsibilities, and oversight of delegates; use of the name “AIFM agreement” alone does not establish that another jurisdiction’s regime applies.
First, prepare a checklist to verify consistency between the fund documents and the management agreement.
Risk warning:A mismatch between redemption rights and the fund classification may lead to an incorrect assessment of the regulatory route.
The PPM should clearly disclose the investment strategy, material risks, fees, valuation, offering and exit arrangements, governance and service providers, investor eligibility and conflicts of interest. Its contents should be consistent with the memorandum, subscription documents and actual operations. Specific disclosure requirements depend on the fund category; tax explanations must not promise zero global tax or specific treatment for investors.
Use the constitutional documents and service-provider agreements as a basis to check the PPM disclosures item by item.
Risk warning:Omitting material risks or fees may give rise to investor claims.
First determine the investor scope, number and minimum initial investment applicable to the fund category, then prepare subscription representations and KYC checks accordingly. A Professional Fund generally requires an initial investment of one hundred thousand US dollars per investor, but the amount alone does not establish professional-investor status. The minimum subscription threshold for an Incubator Fund should not be applied directly to an Approved Fund.
Prepare an investor eligibility verification table for the proposed fund category.
Risk warning:Accepting investors solely on the basis of subscription amount may breach investor category eligibility restrictions.
Clearly define the governance and oversight responsibilities of directors or general partners, the division of responsibilities among service providers, conflicts of interest, and AML/CFT reporting channels. Independent directors, an audit committee and a fixed meeting frequency may be risk-management recommendations, but they are not a uniform statutory configuration for all funds. Arrangements for the CO, MLRO and authorized representative should be confirmed separately by category and applicable rules.
Prepare a governance responsibility matrix, specifying the person responsible for each approval and risk escalation.
Risk warning:Vacant or overlapping responsibilities may leave significant risks without oversight.
Valuation policy affects NAV, subscriptions and redemptions, fees and investor fairness. It is advisable to specify price sources, methods and frequency, treatment of illiquid assets, division of responsibilities, conflicts of interest, escalation for anomalies and reconciliation procedures. The arrangements must suit the assets and fund structure; not every fund is required to use a uniform frequency or an independent valuer.
Select the asset that is most difficult to value and test whether the policy can produce a traceable outcome.
Risk warning:Valuation deviations may distort fees or transaction prices for investors.
For an open-ended fund, redemption frequency, notice periods, limits and suspension mechanisms should be matched to the liquidity of the assets, with approval and fair-treatment arrangements clearly disclosed in the documents. Liquidity stress testing and buffer arrangements may be recommended, but they are not uniform statutory parameters. A closed-ended PIF generally does not grant investors a right to require redemption or repurchase.
Use a stress scenario to test whether the proposed redemption terms are consistent with the time required to liquidate assets.
Risk warning:Redemption commitments exceeding asset liquidity may force the fund to sell assets at a low price.
It is advisable to specify the scope of related parties, conflict identification and declaration, recusal and approval procedures, evidence of fair pricing, and how disclosures will be made to investors. Third-party valuation or independent review may be used according to risk; neither is a uniform statutory requirement for every transaction. Disclosure does not mean public disclosure, nor can it replace substantive conflict management.
Use a proposed related-party transaction to rehearse the reporting, recusal, pricing and record-keeping procedures.
Risk warning:Unfair pricing of related-party transactions may harm the fund and investors.
Establish risk-based customer due diligence, beneficial-owner identification, ongoing monitoring, escalation and reporting of suspicious activity, record retention, and training procedures. Define the responsibilities, resources, and independence of the CO and MLRO. Whether they may hold concurrent roles or be outsourced must be assessed against the business risk and applicable rules; it should not be assumed that every fund must have both appointments pre-approved by the FSC.
Set out the escalation path for customer red flags in an operational checklist and arrange an exercise.
Risk warning:Failure to escalate suspicious activity to the MLRO promptly may result in reporting obligations being missed.
Capital-call provisions should specify the committed amount, purpose, notice and payment procedures, default treatment, subsequent calls and coordination with distributions. Dilution, forfeiture or default interest should not be treated as uniformly valid mechanisms; they should be reviewed by professionals in light of the legal vehicle, articles and subscription agreement. Keep records of notices, receipts and decisions.
Ask BVI counsel to review the consistency and enforceability of the capital-call and default provisions.
Risk warning:Invalid or ambiguous default-remedy provisions may affect the availability of funds.
Fees and carry should clearly disclose the calculation basis, accrual and payment dates, distribution waterfall and applicable clawback mechanism, and be consistent with the management agreement and fund documents. Scenario examples should be used to validate outcomes in cases of losses, exits and termination, with the calculation trail retained. Lock-ups, clawbacks or separate accounting should not be described as uniform statutory requirements for all funds.
Prepare distribution examples for both normal profitability and early termination for review of the documents.
Risk warning:Inconsistent calculation methods may result in excess charges and allocation disputes.
First distinguish continuation following a legal entity’s migration into or out of a jurisdiction from a change in the fund’s regulatory status; the two are not interchangeable. Then review the articles, investor consent, contracts and tax implications, and confirm the registration and FSC procedures. Required approvals, notices and exit arrangements depend on the direction of migration, the legal vehicle and the fund category; there is no uniform process.
Ask the registered agent and a BVI lawyer to jointly prepare a checklist of migration matters for both the entity and the fund.
Risk warning:The entity has been restored, but if fund regulatory procedures are not completed, there may be an interruption in authorization to operate.
Before arranging a dissolution and liquidation, confirm the legal vehicle, solvency and applicable procedure, then plan the disposal of assets, verification of creditor claims, distributions to investors and record retention. The appointment of a liquidator, notices and regulatory termination steps must be checked against the actual status and latest applicable documents. Ceasing fundraising or trading does not automatically end fund regulatory obligations.
Before termination, ask a BVI lawyer, registered agent and auditor to review the sequence of liquidation actions together.
Risk warning:Distributing assets without first properly addressing creditors' claims may harm creditors' rights and interests.
Consult Regulatory Basis26Q277:
Consider grouping bonds by tenor, credit risk, and tradability, and establishing liquidity stress tests, verification of quotation sources, alternative valuation methods, and procedures for unusual cases. Redemption arrangements for an open-ended fund should match its liquidation capacity; a closed-ended structure should be designed around commitments and exit mechanisms. These are practical recommendations, not uniform statutory buffer or valuation-matrix requirements.
Simulate a scenario in which a price quote is unavailable and a large redemption occurs at the same time, and test valuation and cash arrangements.
Risk warning:Relying on distorted secondary-market quotations may overstate net asset value and liquidity.
If a PE structure meets the definition of a closed-ended collective investment scheme, PIF recognition should generally be assessed; the use of an SPV or limited partnership does not imply an exemption from regulation. Clarify capital commitments, drawdowns, valuation, custody and distributions, and independently verify manager eligibility. Tax treatment must be assessed in light of the investment jurisdiction, investors and each entity in the structure; do not promise tax transparency or zero global tax.
First prepare a structural classification memorandum based on redemption rights, collective investment and the functions of the SPV.
Risk warning:Treating a closed-ended private placement structure as not requiring recognition may result in operating without qualification.
Design the offering period, investment period, fund term, extension approval, transfers, and distribution mechanisms in light of the project’s investment and exit cycle, and keep the PPM consistent with the contracts. Repurchase arrangements should be reviewed carefully to avoid conflict with the closed-ended nature of the fund. Exit priorities and extension periods are matters of commercial design; an exit or fixed return cannot be guaranteed.
Test the fund term and extension approval provisions against scenarios involving delayed project exits.
Risk warning:If the fund term is shorter than the project realisation period, it may result in a forced exit at a discount.
A quantitative strategy does not create a separate fund regulatory category merely because it is algorithmic; the actual management, trading and asset-control activities must be assessed. It is advisable to establish controls for model-change approval, data and outsourcing oversight, order limits, valuation, asset segregation and reconciliation. Real-time valuation or public disclosure of the algorithm is not a uniform requirement; the level of control should be proportionate to risk.
Map the authority flow from the model to trade execution and asset custody, and check for control gaps.
Risk warning:Uncontrolled model or interface permissions may lead to unauthorised transactions and asset transfers.
An umbrella structure may share some management and service arrangements operationally, but cost savings are not guaranteed. At establishment, specify sub-fund strategies, expense allocation, valuation and exit mechanisms, and separately confirm the regulatory category of each fund. The umbrella name does not automatically create legal liability segregation. Whether to use a specialised form such as an SPC must be checked against the actual structure and latest applicable documents.
First ask the drafter to compare the liability provisions of an ordinary umbrella structure and a specially segregated structure.
Risk warning:Mistaking separate sub-fund accounting for legal segregation of liabilities.
Consult Regulatory Basis31Q284:
Asset segregation among sub-funds requires both legal structuring and operational controls. In practice, separate accounts, bookkeeping, valuation, reconciliation and asset-access controls may be established, with fees and liquidation allocations specified in the documents. These measures alone do not guarantee segregation of liability from creditors; the effect of the chosen company form, fund documents and applicable law must still be checked.
Ask professionals to review the segregation clauses and verify actual account permissions with the custodian.
Risk warning:Commingling of assets may undermine segregation arrangements or give rise to disputes.
For a master fund and a feeder fund, confirm the recognition or registration route separately based on redemption rights, the method of offering and actual activities, and clarify the investment relationship, fees, valuation, disclosures and service-provider responsibilities. Manager eligibility must be assessed independently. When calculating size, an Approved Manager may exclude overlapping interests between managed structures only if the conditions in the guidance are met; it may not offset them arbitrarily.
Prepare a table of fund-of-funds cash flows and size calculations, and cross-check it against the structure chart.
Risk warning:Errors in calculating duplicate interests may obscure an excess over the management-size limit.
Consult Regulatory Basis33Q286:
The fund documents should clearly specify the distribution waterfall, allocation of expenses, foreign-exchange treatment and valuation basis, with corresponding accounting records for the parent and sub-funds. These are practical design considerations, not a uniform statutory distribution model. Tax outcomes must be assessed case by case based on the entities, investors and jurisdictions involved in the transactions; do not promise avoidance of double taxation or zero global tax.
Use a sample distribution calculation table and ask a tax adviser in the relevant jurisdiction to review it.
Risk warning:Inconsistent cross-border tax treatment may result in additional tax liabilities.
Consult Regulatory Basis34Q291:
Prioritise checking the qualifications, experience, compliance record, independence and asset-protection capability required for a service provider’s actual functions, rather than merely whether it holds a particular licence. The fund category determines manager, custodian and audit arrangements; Public, Private and Professional Funds must maintain an auditor. Any applicable exemption or alternative arrangement must not be assumed to apply.
Request proof of qualifications and a proposed list of responsibilities from prospective service providers for the relevant fund category.
Risk warning:The service provider's qualifications do not match the actual entrusted functions.
Consult Regulatory Basis35Q292:
Independence may be assessed by considering ownership links, overlapping personnel, fee incentives, cross-services and asset access. Agreements should address conflict disclosure, recusal, oversight, information access and termination. Related-party or proprietary transactions should not be described categorically as prohibited by law; restrictions and approval measures should be determined according to the fund category, documents and applicable rules.
Require the service provider to complete a related-party relationship and conflict-of-interest declaration before finalizing the contract terms.
Risk warning:Failure to disclose related-party relationships may affect the independence of valuation or custody oversight.
The fund’s constitutional documents should primarily specify its legal form, share or interest classes, investor rights, issuance and transfer, distribution and liquidation mechanisms, and align with valuation, redemption and fee arrangements. Not all provisions must be consolidated in the AOA. The division of provisions among the constitutional documents, offering documents and service agreements, and the required terms, should be checked for the relevant open-ended or closed-ended category.
Establish a clause-by-clause consistency checklist for the articles, offering documents and service agreements.
Risk warning:Conflicting redemption or fee provisions across documents may lead to disputes.
A PPM should clearly describe the strategy, principal risks, fees, team, valuation, redemption or exit restrictions, conflicts of interest, and relevant legal and tax matters. The specific required contents depend on the fund category and offering arrangements. Any disclosed historical performance must be accurate and verifiable; returns must not be fabricated or presented as guaranteed. The document should also be consistent with the actual private offering activity.
Check each statement in the PPM against the supporting materials and subscription process.
Risk warning:Inaccurate risk or fee disclosures may mislead investors.
Investor onboarding should include risk-based verification of identity and beneficial ownership, sanctions and PEP screening, source-of-funds review and ongoing monitoring, with records retained. Enhanced due diligence should be applied to high-risk cases as appropriate. Suspicious activity should be escalated to the MLRO under the AML/CFT process; it should not be stated as a general requirement that all KYC materials be submitted to the regulator or custodian.
Combine the subscription process, KYC approval, exception escalation, and record-keeping responsibilities into a single flowchart.
Risk warning:Accepting subscriptions before due diligence is complete may result in an AML violation.
Consult Regulatory Basis39Q296:
First determine statutory investor eligibility by fund category, then conduct suitability reviews based on product risk and retain evidence. For a Professional Fund, the minimum initial investment for each investor is generally 10 ten thousand US dollars, but the amount itself does not prove professional-investor eligibility and statutory exceptions apply. A PPM or subscription agreement cannot independently lower the applicable eligibility standard.
Prepare an eligibility questionnaire and a list of required supporting documents based on the proposed fund category.
Risk warning:Determining eligibility solely by subscription amount may result in the admission of ineligible investors.
Consult Regulatory Basis40Q297:
Governance should clearly define the oversight responsibilities of directors or general partners, reserved matters, service-provider appointments, conflicts of interest and incident-escalation mechanisms, and retain decision records. Independent directors or committees may be considered based on risk but are not uniform requirements for every fund category. Audit, CO, MLRO and authorised-representative arrangements should be determined separately according to the fund category and applicable rules.
Prepare a governance responsibility matrix that specifies each role's authority and reporting lines.
Risk warning:A nominee director who lacks effective oversight may undermine governance.
Consult Regulatory Basis41Q298:
A conflicts-of-interest procedure should cover identification, registration, disclosure, recusal, approval and post-event review. For related-party transactions, practical measures may include price comparisons, independent review and retaining the rationale, but an independent committee or a separate opinion for every transaction should not be presented as a uniform statutory requirement. Specific approvals and investor disclosures must align with the fund documents and applicable rules.
First establish a conflicts-of-interest register and set out the approval process for related-party transactions in the policy.
Risk warning:Participation by interested persons in the approval process may undermine fair treatment of investors.
Consult Regulatory Basis42Q299:
Internal controls should be built around the actual strategy, asset authority and service-provider arrangements, and should include valuation review, reconciliation, segregation of duties, escalation of anomalies, AML/CFT, training and records management. Monitoring frequency and independent testing may be designed according to risk; a uniform internal-audit cycle should not be imposed. Directors retain oversight responsibility, and the responsibilities and any conditions for combining the CO and MLRO roles must be confirmed separately.
Select one subscription-to-redemption process, test key controls and document any gaps.
Risk warning:Controls that exist only in manuals may fail to detect asset or transaction anomalies.
Consult Regulatory Basis43Q300:
An emergency framework should provide in advance for liquidity monitoring, decision-making authority, handling valuation anomalies, contacting service providers and investor communications, while retaining the rationale for decisions. Suspension of redemptions or restrictions on withdrawals must be supported by the fund documents and applicable rules; they cannot be imposed arbitrarily under pressure. Regulatory notifications and investor disclosures should be assessed separately according to the event and current requirements.
Conduct a liquidity stress exercise and check the redemption terms and the persons responsible for notifications.
Risk warning:Restricting redemptions without grounds may give rise to investor disputes.
Consult Regulatory Basis44Q403:
Operational and compliance documents for a virtual-asset fund should cover investment powers, valuation, liquidity, asset custody, AML/CFT, conflicts of interest and incident handling. Where smart contracts are involved, technical assessment and recovery processes may be added. This is a practical framework designed for the strategy, not a uniform statutory manual checklist for every fund.
Map each control to a responsible person, an execution record and an escalation process.
Risk warning:If the provisions in the documents do not match the actual asset-control processes, risk management will be weakened.
A DeFi strategy should specify the protocols and asset types in which it may invest, exposure limits, liquidity and exit conditions, and assess smart-contract vulnerabilities, governance powers and counterparty risk. These are practical recommendations and do not establish that the strategy is necessarily compliant. The fund category, manager qualifications and whether virtual asset services are separately involved must each be assessed in light of the actual activities.
Establish an eligibility scoring table and exit triggers for proposed investment agreements.
Risk warning:A suspension or gap in the agreement may prevent the fund from exiting an investment in a timely manner.
Consult Regulatory Basis46Q406: NFT
For an NFT fund, first determine the fund route by reference to its redemption mechanism, offering scope and investor arrangements, then specify in the documents asset rights, intellectual-property licences, transfer restrictions, valuation and custody responsibilities. The NFT label alone does not determine regulatory classification; the specific rights and cross-border offering requirements must be verified against the contracts and latest applicable documents.
Prepare a checklist of the rights, transfer restrictions and custody arrangements for each category of NFT.
Risk warning:Holding an NFT does not necessarily confer intellectual property rights in the associated work.
Consult Regulatory Basis47Q407:
Digital assets should be valued using reliable pricing sources selected in light of the characteristics of the assets, with the calculation, review, frequency and treatment of abnormal prices specified. Market quotations, comparable transactions or models may be used as practical options, but none should be applied universally. For low-liquidity assets, assumptions, adjustments and conflicts of interest should be explained, and valuation arrangements should be proportionate to the fund’s business.
First, establish a hierarchy of pricing sources and an alternative method for when quotes are unavailable.
Risk warning:Using distorted or non-executable quotations may overstate a fund’s net asset value.
Consult Regulatory Basis48Q409:
Liquidity management is about matching the ability to realize assets with the fund’s redemption commitments. Assess trading depth, lock-up periods, exit costs and stress scenarios, and clearly set out the applicable redemption arrangements in the fund documents. Buffers, queues or restrictions are not uniform statutory requirements and cannot guarantee redemption during market stress.
Check whether the existing redemption terms match the actual timing of asset exits.
Risk warning:A redemption period shorter than the asset liquidation period may create a liquidity shortfall.
Consult Regulatory Basis49Q410:
A smart-contract review should cover vulnerabilities, business logic, permissions, upgrade paths and dependent components, with remediation and revalidation results documented. An independent third-party audit is a practical measure that may be adopted, not a uniform statutory requirement for all funds. Where a VASP is involved, technical assurance or systems-audit arrangements should be proportionate to the business.
Include audit findings, remediation owners and retest results in the go-live checklist.
Risk warning:If audit scope omits escalation authority, a loophole may remain through which assets can be transferred.
Consult Regulatory Basis50Q413:
Custodian due diligence should examine applicable qualifications, actual control of assets, segregation and reconciliation, technology safeguards, outsourcing, exit arrangements and contractual liability, and review available audit and insurance materials. Insurance does not necessarily cover all losses. Custody or exemption arrangements for a fund must be confirmed according to its category; compliance cannot be determined from the custodian’s name alone.
Ask the custodian to provide a written explanation of asset control and liability for losses.
Risk warning:Contractual liability exclusions or insurance exclusions may leave losses uncompensated.
